Stellantis mega-merger gets approval from FCA, PSA shareholders
Mon, Jan 4 2021MILAN — Shareholders of Fiat Chrysler and PSA Peugeot decisively voted Monday to merge the U.S.-Italian and French carmakers to create worldÂ’s 4th-largest auto company. Addressing separate meetings, both PSA Peugeot CEO Carlos Tavares and Fiat Chrysler Chairman John Elkann spoke of the “historic” importance of the vote, which combines legacy car companies that helped write the industrial histories of the United States, France and Italy. Before the merger is finalized, shares in the new company, to be called Stellantis, must the launched. It will be traded in Milan, New York and Paris. The marriage of PSA Peugeot and Fiat Chrysler Automobiles is built on the promise of cost-savings in the capital-hungry industry, but what remains to be seen is if it will be able to preserve jobs and heritage brands in a global market still suffering from the pandemic. The deal will create the worldÂ’s fourth-largest carmaker, with the capacity to produce 8.7 million cars a year, behind Volkswagen, Toyota and Renault-Nissan, and create 5 billion euros in annual synergies. “We are fully aware of the fact that together we will be stronger than individually,'' PSA CEO Carlos Tavares told a virtual gathering of eligible shareholders. “The two companies are in good health. These two companies have strong positions in their markets.” The new company will put together under one roof French mass-market carmakers Peugeot and Citroen, top-selling Jeep and Italian luxury and sports brands Maserati and Alfa Romeo - pooling companies that have helped define the industry in the United States, France and Italy. While the tie-up is billed as a merger of equals, the power advantage goes to PSA, with Tavares running Stellantis and holding the tie-breaking vote on the 11-seat board. Tavares is set to take full control of the company early this year, possibly by the end of January. Fiat Chrysler chairman John Elkann, heir to the Fiat-founding Agnelli family and Fiat ChryslerÂ’s biggest shareholder, will be the Stellantis chairman. Fiat Chrysler CEO Mike Manley will head North American operations, which is key to Tavares' long-time goal of getting a U.S. foothold for the French carmaker he has run since 2014, and the clear money-maker for Fiat Chrysler. Such a deal was long wanted by Fiat ChryslerÂ’s long-time CEO Sergio Marchionne, who had predicted the necessity of consolidation in the industry. He was unable to find a deal before his sudden death in July 2018.
The Chrysler brand could be axed under Stellantis management
Sun, Jan 3 2021MILAN — While running NissanÂ’s North American operations from 2009 to 2011, Carlos Tavares had a reputation for closely watching costs with little tolerance for vehicles or ventures that didnÂ’t make money. Experts say that means Tavares, currently the head of PSA Group, is likely to follow that blueprint when he becomes leader of a merged PSA and Fiat Chrysler Automobiles. The low-performing Chrysler brand might get the axe as could slow-selling cars, SUVs or trucks that lack potential. Already the companies are talking about consolidating vehicle platforms — the underpinnings and powertrains — to save billions in engineering and manufacturing costs. That could mean job losses in Italy, Germany and Michigan as PSA Peugeot technology is integrated into North American and Italian vehicles. “You canÂ’t be cost efficient if you keep the entire scale of both companies,” said Karl Brauer, executive analyst for the iSeeCars.com auto website. “WeÂ’ve seen this show before, and weÂ’re going to see it again where they economize these platforms across continents, across multiple markets.” Shareholders of both companies are to meet Monday to vote on the merger to form the worldÂ’s fourth-largest automaker, to be called Stellantis. The deal received EU regulatory approval just before Christmas. Tavares, who for years has wanted to sell PSA vehicles in the U.S., wonÂ’t take full control of the merged companies until the end of January at the earliest. He likely will target Europe for consolidation first, because thatÂ’s where Fiat vehicles overlap extensively with PSAÂ’s, said IHS Markit Principal Auto Analyst Stephanie Brinley. Europe has been a money-loser for FCA, and factories in Italy are operating way below capacity — a concern for unions, given FiatÂ’s role as the largest private sector employer in the country. “We are at a crossroads,Â’Â’ said Michele De Palma of the FIOM CGIL metalworkersÂ’ union. “Either there is a relaunch, or there is a slow agonizing closure of industry, in particular the auto industry, in Italy.” ItalyÂ’s hopes lie with the luxury Maserati and sporty Alfa Romeo brands, but De Palma said investments are needed to bring hybrid and electric technology up to speed. FiatÂ’s Italian capacity stands at 1.5 million vehicles, but only a few hundred thousand are being produced each year. Most factories were on rolling short-term layoffs due to lack of demand, even before the pandemic.
FCA CEO Mike Manley will run Americas for Stellantis after PSA merger

FCA Chairman John Elkann announced ManleyÂ’s new post on Friday in a letter to employees. ManleyÂ’s role in the merged company had been a mystery. PSA CEO Carlos Tavares will run the overall company, to be named Stellantis. Shareholders of both companies will vote on the merger Jan. 4 to seal the deal creating the worldÂ’s fourth-largest automaker. The merger is expected to be completed by the end of March. PSA will get six seats on the new companyÂ’s 11-member board, which will be chaired by Elkann. The Americas, especially the U.S., are key to the new companyÂ’s success. Fiat ChryslerÂ’s Jeep and Ram brands are highly profitable, and Tavares has long wanted to sell PSA vehicles in the U.S. Manley has been the Italian-American automakerÂ’s CEO for 2 1/2 years, taking over when Sergio Marchionne died in 2018. Fiat Chrysler posts record Q3 profit thanks to U.S. trucks and Jeep
Wed, Oct 28 2020MILAN — A rebound in car production in Fiat Chrysler on Wednesday reported record third-quarter earnings as production returned to nearly pre-pandemic levels. The Italian-American automaker, which is finalizing its full merger with French rival PSA Peugeot, reported a net profit in the three months ending Sept. 30 of $1.4 billion (1.2 billion euros). That compares with a loss of 179 million euros a year earlier. The carmaker reported adjusted earnings before tax and interest in North America of 2.5 billion euros. That offset deepening losses in Europe, Asia and at its Maserati luxury marquee. Latin America, the only other region to post a profit, saw it narrow by two-thirds to 46 million euros. “Our record results were driven by our teamÂ’s tremendous performance in North America,” CEO Mike Manley said in a statement. Overall, the carmaker said global earnings before tax and interest were a record 2.3 billion euros despite a 6% fall in revenues to 26 billion euros. Global shipments were down 3%, due largely to plant retooling in North American to produce the new Jeep Grand Wagoneer in the luxury SUV segment and the discontinuation of the Dodge Grand Caravan classic minivan. Fiat Chrysler announced earlier Wednesday that its merger with PSA Peugeot is on track to be finalized by the end of the first quarter of 2021, as planned. To meet regulatory concerns, the French carmaker is selling a small stake in a components maker to get below 40% ownership. Legacy automakers like Ford and Chevy have theirs coming, as do startups like Tesla, Rivian and Bollinger, as well as some lesser known brands. Here are all the electric pickup trucks we know to be in the works, along with a few that are being discussed or mulled over. The GMC Hummer EV comes out swinging with 1,000 horsepower from GMÂ’s new Ultium electric powertrain program, a wealth of off-road features, a removable roof, Super Cruise and the revival of the Hummer name. It was created with both enthusiasts and workers in mind, with features that can get it to remote places (portal axles, hydro-pneumatic suspension) and to get things done (room for 40 2x4s, equipped with eight 110-volt outlets and one 220-volt outlet). Italian coachbuilder wraps a modern-day Citroen van in a retro skin
Tue, Oct 6 2020Italian coachbuilder Caselani resurrected an obscure, often-forgotten model from Citroen's past to offer van buyers an additional retro-styled option. Called Type HG, it's based on the current-generation Citroen Jumpy. One of the French carmaker's best-known vintage vans is the Type H, which was built with only minor changes from 1947 to 1981. It's aged into a sought-after classic that's popular as a food truck and as a camper from Paris to Sydney. Few realize Citroen planned to release a smaller model named Type G which looked almost exactly like the H but used an air-cooled flat-twin engine shared with the 2CV. Several prototypes were made, but the project was canned in favor of the 2CV-based, nine-horsepower AU van released in 1951. It's this little-known prototype that only exists in Citroen's official heritage collection and in the minds of the most indoctrinated French car enthusiasts that Caselani chose to bring into the 21st century. And, because the Type G (shown below) was a shrunken copy of the Type H from a design standpoint, making a body kit that fits the Citroen Jumpy was relatively simple. Caselani liberally borrowed styling cues from its modern version of the Type H, which is based on the larger Citroen Jumper sold as the Ram ProMaster in the United States. It adds a new-look front end with a vertical grille, chromed chevrons, and round headlights positioned as far out of the body as regulations permit, corrugated body panels, and a redesigned rear end. Whitewall tires are optionally available. Caselani offers the Type HG as a passenger van, a crew-cab van, and a panel van. Pricing starts at 29,400 euros before taxes are factored in, a sum that represents about $35,000 and that corresponds to a short-wheelbase panel model powered by a 100-horsepower, four-cylinder turbodiesel engine. Alternatively, motorists who already own a Jumpy can purchase the transformation kit on its own for 14,800 euros (about $17,500). For added peace of mind, Caselani pointed out the conversion was created with Citroen's input, and the brand authorized the kit. We know what you're thinking: what on earth is a Jumpy? Glad you asked! It's a van positioned in the middle of Citroen's commercial range. It slots between the Berlingo, which competes in the same segment as the Ford Transit Connect, and the Jumper, which is marketed as an alternative to the Ford Transit.
Peugeot E-Boxer seems like it would make a nice electric Ram ProMaster
Thu, Aug 27 2020Though electric cars, and especially pickup trucks, are the hot zero-emissions battlefield, there's another sector that's heating up: commercial vans. Startups such as Rivian and Bollinger have announced plans for vans, and Ford has shown a prototype of an electric Transit. It seems Stellantis is slightly ahead of the curve, though, as it has revealed details of its electric vans with the Peugeot E-Boxer. And the reason you should care is that the E-Boxer and gas-powered Boxer are nearly identical to the American-market Ram ProMaster and Italian Fiat Ducato. Powering the E-Boxer is a single electric motor at the front. It's not particularly powerful with just 122 ponies, but it has a more respectable 192 pound-feet of torque. Top speed is limited to 68 mph, which would probably need to be raised if these vans were offered in the U.S. Supplying power is one of two available battery packs: The shorter models get a 37-kWh battery that is rated for 124 miles of range on the WLTP cycle; longer models get a 70-kWh battery rated by WLTP for 211 miles. Those numbers would likely be lower in American EPA testing. While the range isn't incredible, enormous range likely isn't as important for delivery vans that might operate locally. These vans also come with DC fast charging in case more range is needed quickly. Though not quick, the Peugeot E-Boxer doesn't sacrifice on practicality. No cargo space is sacrificed for the electric powertrain, so you can fit just as much into one as a similarly configured gas model. Payload capacity is comparable to the gas vans, even the V6 ProMaster, too, with a maximum of 4,167 pounds. This number does vary based on configuration, just like cargo space. Peugeot will offer it in four different lengths with three roof heights as well as chassis and cutaway cab models. So it's just as configurable as the regular version. With some adjustment to how quick the E-Boxer can go, it would seem like it could be offered in the U.S. and beat some competitors to the punch. It's all built on the existing Ram ProMaster platform that we get here. And electric power would seem appealing to businesses that need delivery vans: lower fuel and maintenance costs. Fiat/PSA's dominance in small vans hangs up EU's merger approval
Mon, Jun 8 2020BRUSSELS — EU antitrust regulators are concerned about Fiat Chrysler and Peugeot / PSA's combined high market share in small vans and may require concessions to clear their $50 billion merger, people familiar with the matter said. The companies, which are seeking to create the world's fourth biggest carmaker, were told of the European Commission's concerns last week. If Fiat and PSA fail to dispel the European Commission's doubts in the next two days and subsequently decline to offer concessions by Wednesday, the deadline for doing so, the deal would face a four-month-long investigation. The EU competition enforcer, which has set a June 17 deadline for its preliminary review, declined to comment. Fiat was not immediately available for comment while PSA had no immediate comment. Hiving off overlapping businesses, usually a regulatory demand to ensure more competition, could prove tricky for the carmakers because of the technicalities. Fiat and PSA are looking to merge to help offset slowing demand and shoulder the cost of making cleaner vehicles to meet tougher emissions regulations. Fiat Chrysler's next-generation Uconnect is faster, built on Android
Mon, Jan 27 2020If you're a regular reader of Autoblog, you know that for a long time we've liked Fiat Chrysler's Uconnect infotainment system for its bright, clear, responsive touchscreen interface. Now, according to the company, it will be better than ever with Uconnect 5, the latest iteration of the system. It has upgraded hardware and a revamped graphic user interface (the stuff on the screen). Looking at sample screens shown above, there are characteristics shared with the old system, such as the time, status and shortcuts at the top and the menu icons at the bottom. In the middle, the major change is the addition of home screens that can be customized with favorite menus and readouts that are always available. Each of these home screens can have up to four functions and you can have five pages to flip through. The graphics themselves feature more legible fonts and updated icons. Each car brand will get its own set of icons, colors and textures to help create unique experiences. And while each Fiat Chrysler product will be able to have Uconnect, including Alfa Romeo that has until now lacked Uconnect, each brand has the ability to make small tweaks including the screen orientation. The system will support displays in landscape, portrait or square, so different brands may choose different shapes. Powering Uconnect 5 is a processor Fiat Chrysler says is six times more powerful than what's in current systems. It features 6 gigabytes of RAM and 64 gigabytes of internal storage. The processor also supports screens as large as 12.3 inches with as many as 15 million pixels, or nearly twice that of a 4K resolution TV. The system can display information on up to four screens, too. Uconnect 5's firmware is built on Google's Android operating system, joining a few other automakers in using Android as a base for their infotainment systems. Uconnect 5 brings with it a number of new features. It brings full Alexa integration, so you can use it just like you do at home, provided you have a data plan for the car. Apple CarPlay and Android Auto continue to be standard, but now they can be used wirelessly. You can also now connect two phones via Bluetooth wirelessly so you can access content from both. Navigation gets real time information and updates from TomTom. Users can create five profiles with unique climate, radio and instrument settings, plus one for a valet.
Fiat Chrysler CEO says final merger talks with Peugeot going well
Thu, Jan 23 2020BRUSSELS — Fiat Chrysler's chief executive Michael Manley said on Wednesday that merger talks with Peugeot owner PSA to create the world's No. 4 carmaker are progressing well and he hopes to have a deal within 12-14 months. Speaking to Reuters on the sidelines of an industry meeting, he said he doesn't expect any major obstacles that could delay a final agreement. "Talks are progressing really well," Manley said about negotiations with the French carmaker ahead of a briefing by the European automotive association (ACEA), of which he is president. His comments come a month after the two carmakers agreed to a binding deal worth about $50 billion to combine forces in response to a slowdown in global demand and mounting costs of making cleaner vehicles amid tighter emissions regulations. Manley's timeline for completing the deal by early 2021 is in line with a forecast made by the companies in December. Fiat and Peugeot are now getting into the details of how the merger will work, including choosing which vehicle platforms — the technological underpinnings of a vehicle — will fit which products in a combined company. Because customers in different locations still prefer vastly different cars, there is room for multiple platforms in a combined group, Manley said. "That global platform is an elusive beast," he added. "This concept of a massive global platform in my mind is almost a myth, but that doesnÂ’t mean to say weÂ’re not going to recruit significant volume." Related Video:  Â
