VW makes $9.2B offer for rest of truckmaker Scania

Volkswagen owns or has controlling interests in three commercial truck operations: besides its own, VW began buying shares in Sweden's Scania in 2000 and now controls 89.2 percent of its shares and 62.6 percent of its capital, then bought into Germany's Man in 2006 - in order to prevent Man from trying to take over Scania - and now owns 75 percent of it. The car company has managed to work out 200 million euros in savings, but believes it can unlock a total of 650 million euros in savings if it takes outright control of Scania and can spread more common parts among the three divisions.
It has proposed a 6.7-billion-euro ($9.2 billion) buyout, but according to a Bloomberg report, Scania's minority investors don't appear inclined to the deal. Although effectively controlled by VW, Scania is an independently-listed Swedish company, and a profitable one at that: in the January-September 2013 period its operating profit was 9.4 percent compared to Man's 0.4 percent. Some of the other shareholders believe that Scania is better off on its own and will not approve the deal, some have asked an auditor to look into the potential conflict of interest between VW and Man, while some are willing to examine the deal and "make an evaluation based on what a long-term owner finds is good," which might not be just "the stock market price plus a few percent." The buyout will only be official assuming VW can reach the 90-percent share threshold that Swedish law mandates for a squeeze-out.
Many of the arguments against boil down to investors believing that Scania's Swedishness and unique offerings are what keep it profitable, and ownership by the German car company will kill that. (Have we heard that somewhere before?) If Volkswagen can buy that additional 0.8-percent share in Scania, perhaps its buyout wrangling with Man will give it an idea of what it's in for: "dozens" of minority investors in the German truckmaker have filed cases against VW, seeking higher prices for their shares. It is likely only to delay the inevitable, though. If VW is really going to compete with Daimler and Volvo in the truck market, it has to get the size, clout and savings to do so.

2015 VW Golf SportWagen priced from $21,395*

Now known as the Volkswagen Golf SportWagen in the US, the long-roof version of the platform gets larger for its new generation in 2015, but it also sheds up to 137 pounds and cuts some money off the price of some models. The base now begins at $21,395, plus $820 destination on all versions, when they arrive at dealers in April. Volkswagen claims that with all of the extra standard content, buyers actually save $700 compared to the previous-gen Jetta SportWagen, despite its lower $20,995 starting price. The S trim is the least expensive model and comes with a five-speed manual and 1.8-liter turbocharged four-cylinder making 170 horsepower. Paying an extra $1,100 adds a six-speed automatic. The SE for $26,995 gets the auto as standard and also includes a panoramic sunroof, front foglights, push-button start and a rearview camera. The top SEL for $29,345 further features chrome roof rails, navigation, a 12-way power driver's seat and more. In addition to the gas engine, buyers can choose the 2.0-liter TDI with 150 hp and 236 pound-feet of torque, and VW quotes EPA estimates of up to 43 miles per gallon highway fuel economy for it. All of the trims with the oil burner come with a six-speed manual, but a six-speed DSG is a $1,100 extra. The base TDI S trim starts at $24,595, which is nearly $2,000 less than the last-gen Jetta SportWagen with a diesel, and buyers also get standard push-button start and a rearview camera. The SE and SEL trims offer similar upgrades as their gasoline counterparts and ring up for $27,995 and $30,345, respectively. Of course, many buyers want extra tech for their cars, and VW is offering two packages of options for the SE and SEL trims with either engine. One adds collision warning, automatic post-collision braking and front and rear parking sensors for $695. McLaren F1 poaches Jost Capito from VW WRC

The executive shuffle continues at the McLaren Formula 1 team with news that Ron Dennis has lured Jost Capito away from his position as head of Volkswagen Motorsport. Capito will become the CEO of McLaren Racing, replacing Jonathan Neale who took the position on an interim basis at the beginning of 2014 to replace Martin Whitmarsh. Whitmarsh, who had been with McLaren for 24 years and spent five of them as F1 team principal, left the company after being moved out of the CEO position. Neale, on the other hand, who has been with McLaren Racing since 2001, is moving over to the newly created position of COO of the McLaren Technology Group. Capito left the Ford SVT division in 2012 to run VW Motorsport, and has spent the past three years shepherding the brand's World Rally Championship to three consecutive driver's and manufacturer's titles. Before that, his lengthy racing resume includes developing high-performance BMW engines, winning the Dakar Rally as a co-pilot, executive positions with Sauber in the early nineties, and managing Ford's WRC team. Dennis, who first approached Capito last summer, called him, "extremely impressive, competitive, and ambitious." The Woking team has some great parts, but it hasn't been able to make the most of them comprehensively since the end 2012 season. Autosport says that Capito has the ability to make the best pieces work together, which will probably be his biggest challenge at McLaren. Capito will remain at VW until a successor is found.
