Nissan CEO Saikawa admits he was overpaid, in policy violation

TOKYO — Nissan Motor Co was embroiled in another scandal over executive pay on Thursday after Chief Executive Hiroto Saikawa admitted to being overpaid in violation of internal procedures under a scheme designed by ousted Chairman Carlos Ghosn. An internal investigation found that Saikawa and other executives had received improper compensation, a source with knowledge of the matter told Reuters, raising doubts about Saikawa's pledge to improve governance in the wake of Ghosn's arrest last year for alleged financial misconduct. Saikawa apologized and vowed to return any improperly paid money as he admitted to Japanese reporters earlier on Thursday that he had wrongly received stock-related compensation under "a scheme of the Ghosn era." "I am deeply sorry for causing concern," Saikawa said, according to Jiji Press. In other comments reported by Kyodo news, Saikawa denied any direct role in the execution of a stock appreciation rights (SAR) scheme and said he thought "proper procedures" had been taken. The improper payments, including tens of millions of yen Saikawa received through the SAR scheme, were disclosed on Wednesday at a meeting of Nissan's audit committee, said the source who declined to be identified because the information is not public. Disciplinary action regarding the issue would be discussed at an upcoming board meeting, the source added. Nissan said in a statement that the findings from its probe including issues related to the share appreciation rights would be submitted to its board on Sept. 9. The company has been trying to strengthen governance, slash costs and boost flagging profitability amid persistent allegations of financial misconduct stemming from Ghosn's 20-year reign at Japan's second-biggest automaker. Ghosn is awaiting trial in Japan over charges including enriching himself at a cost of $5 million to Nissan. Kyodo reported that proceedings could start as early as March. He denies any wrongdoing and says he is the victim of a boardroom coup. Confidence in Saikawa had already been shaken by accusations he was too close to Ghosn, whose arrest in November rocked the global auto industry and exposed tensions in the automaking partnership between Nissan and Renault SA.

Carlos Ghosn 'very comfortable' after questioning by Lebanese prosecutor

BEIRUT/TOKYO — Carlos Ghosn's lawyer said he was "very comfortable" with legal proceedings in Lebanon on Thursday, after the fugitive ex-Nissan boss was questioned over an extradition request from Japan where he faces criminal charges. Ghosn fled Japan to Lebanon, his childhood home, last month as he awaited trial on charges of under-reporting earnings, breach of trust and misappropriation of company funds, all of which he denies. His dramatic escape has raised tension between Tokyo and Beirut at a time when Lebanon is seeking an international bailout to help it tackle a deep financial crisis. Ghosn slammed the Japanese justice system at a two-hour news conference on Wednesday, prompting Japan's justice minister to launch a rare and forceful public response. After questioning in Beirut about Japan's Interpol wanted notice, two judicial sources said the prosecutor had imposed a travel ban, a step Carlos Abou Jaoude, a Beirut-based lawyer for Ghosn, described as procedural to broadcaster Al Jadeed. Ghosn would surrender his French passport on Thursday, he said. Ghosn said later he was more comfortable with the Lebanese judiciary than that of Japan. "I will fully cooperate," he told broadcaster LBCI. Japan's Justice Minister Masako Mori said Ghosn's allegations that he had had "zero chance" of a fair trial in Japan were unfounded. "Defendant Ghosn was looking to justify his unlawful exit from Japan by propagating a false recognition of our justice system," she said at the second of two news conferences, the first of which was held shortly after midnight. "I felt that we needed to respond immediately to broadcast a correct understanding to people around the world." Ghosn told LBCI her comments were "ridiculous." Mitsubishi cheated on Japanese fuel economy test since 1991

The automaker has hired an independent panel of investigators to get to the bottom of what happened, and the company will give them three months to prepare a report about the deception. Mitsubishi's cheat involves how the company calculated driving resistance to determine fuel economy. In 1991, Japan's Road Transport Vehicle Act established a coasting test to establish the driving resistance, but Mitsubishi's engineers used their own "high-speed coasting test," according to its statement. In 2007, the company decided to only use the country's mandated evaluation, but the employees kept utilizing the high-speed test in the field. In the most recent scandal, workers selected low values for driving resistance from the results, which made the fuel economy look better. Mitsubishi's presented these details in a report to the Ministry of Land, Infrastructure, Transport, and Tourism. "We are currently investigating the reasoning behind each of the decisions," the company said in a statement. It also hired three former prosecutors to figure out why this happened for so long. At this time, Mitsubishi only confirms the incorrect figures for some of the company's minicars, but this investigation could discover more transgressions. This fiasco started when Nissan discovered fuel economy discrepancies in some of its Mitsubishi-made tiny kei-class cars in Japan.
