Nissan board meets but doesn't pick a replacement for Ghosn

YOKOHAMA, Japan — Nissan's board met Monday but failed to pick a new chairman to replace Carlos Ghosn, who was arrested last month on charges of violating financial regulations, saying more discussion was needed. Nissan Motor Co. Chief Executive Hiroto Saikawa told reporters that the board approved a special committee of outsiders to strengthen governance at the company. A date for the selection of a chairman was not decided. "We plan to be cautious in this process, and I do not plan to rush this," Saikawa said. The recommendations for beefing up governance are due in March, and Saikawa said he was willing to wait until then to choose a chairman. The board meeting came amid an unfolding scandal that threatens the Japanese automaker's two-decade alliance with Renault SA of France and its global brand, and highlights shoddy governance at the manufacturer of the Leaf electric car. Ghosn and another board member Greg Kelly were formally charged last week with falsifying financial reports in underreporting Ghosn's income by about 5 billion yen ($44 million) from 2011 to 2015. They were arrested Nov. 19 by Tokyo prosecutors and remain in detention. A source close to Ghosn's family says Ghosn is innocent, as the alleged income was never decided upon or paid. Aubrey Harwell, the U.S. lawyer for Kelly, an American, says he is innocent, and that Nissan insiders and outside experts had advised him that the financial reporting was proper. The chairman must be selected from among the board members. Three outside board members — race-car driver Keiko Ihara; Masakazu Toyoda, an academic; and Jean-Baptiste Duzan, formerly of Renault — are making that decision. The special committee for governance includes the three outside board members and four other outsiders, including former judge Seiichiro Nishioka. One candidate for chairman is Saikawa, who was hand-picked by Ghosn to succeed him as chief executive. He has denounced Ghosn and Kelly as the "masterminds" in a scheme to falsify income reports and abuse company money and assets. Renault has kept Ghosn as chief executive and chairman, saying its investigation has not found wrongdoing in the awarding of Ghosn's compensation. Saikawa called on directors at Renault to heed its reasons for sacking Ghosn, but Renault's interim chairman Philippe Lagayette said on Friday that its board had not considered a replacement.

The Renault-Nissan Alliance has been chosen to provide a fleet of electric cars for the UN's COP22 Climate Conference in Marrakesh, Morocco. The group will provide 50 passenger EVs – the Renault Zoe, Nissan Leaf, and Nissan e-NV200 – to shuttle delegates to and from conference venues. The Alliance will also provide more than 20 charging stations to support the shuttle fleet. The group provided electric shuttles for the historic COP21 summit in Paris last year. Read more from Renault-Nissan. FCA, Iveco, and gas grid company Snam have signed an agreement to boost natural gas as a cleaner alternative fuel for Italy. Under the Memorandum of Understanding, FCA and Iveco will work together to develop CNG vehicles, while Snam will invest in CNG supply facilities like filling stations to support a growing fleet. LG Chem has officially announced it will build a battery plant in Poland to the tune of about $340 million. Located near Wroclaw in southwestern Poland, the plant is expected to produce 100,000 batteries a year for 200-mile EVs beginning in 2019. The plant could help Poland in its goal to reduce pollution by introducing a million EVs on its roads by 2025. "We will turn the Poland EV battery plant into a mecca of battery production for electric vehicles around the world," says UB Lee, President of LG Chem's Energy Solution Company. Its Bosch Performance Line electric motor provides electric assistance at speeds of up to 15 mph. The battery can be either be removed or remain on the bike for charging, which takes 3.5 hours for a full charge. "BMW aims to be the leading provider of premium mobility services, and our bicycle collection furthers that mission," says BMW Accessory and Lifestyle Manager Eric Riehle. Nissan's purchase of Mitsubishi is officially official

After the company's announcement in May, the Nissan's purchase of a 34 percent stake in Mitsubishi is now official. The deal cost Nissan $2.3 billion, according to the Wall Street Journal, and brings Mitsubishi into the Nissan-Renault Alliance. The company explained that this new partnership will manifest itself in shared vehicle platforms and technology, joint purchasing, and shared manufacturing. Nissan also said that this purchase will make the company one of the three largest companies by volume in the world. Nissan also emphasized that Mitsubishi will very much be a partner in the current alliance with Renault. In addition, Carlos Ghosn, CEO of both Nissan and Renault, has been nominated to be the new chairman of the Mitsubishi board. With Ghosn at the head of the board, current Mitsubishi president and CEO, Osamu Masuko, will remain in his positions but Nissan's current chief competitive officer will join Masuko as co-chief executive officer at Mitsubishi. With these companies now working together, we'll probably start seeing more commonality between Nissan and Mitsubishi products here in the States.
