FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. EZ-Charge program will get rolled out for all vehicles [UPDATE]

UPDATE: It appears that Chargepoint has pulled out of the program. It looks like a myriad of vehicles will be eligible for the single-card recharging program under NRG Energy's NRG eVgo division. The EZ-Charge platform that Nissan said last month would allow Leaf owners to use multiple vehicle recharging networks with a single card will soon be offered to other plug-in vehicles. eVgo will start sending out EZ-Charge cards this summer to various markets in Northern and Southern California and Texas as well as the Pacific Northwest, Phoenix, Nashville and Washington, DC. EZ-Charge uses a single card that is good for eVgo stations as well as stations within the ChargePoint, Blink and AeroVironment networks. It will debut in 10 EZ-Charge markets on July 1. By mid-2015, 15 more markets will be added. Nissan announced the 'No Charge to Charge' program last month at the New York Auto Show. Nissan said at the time that Leaf buyers would get two years of free charging, but individual charging sessions were limited to 30 minutes at CHAdeMO stations and an hour at the more-common Level 2 stations. The automaker also estimated that the 25 markets included by next year account for more than 80 percent of US Leaf sales. Take a look at NRG's press release below. Nissan has already showed us the 1.5-liter, three-cylinder engine 400 horsepower and 280 pound-feet of torque, augmented by an electric motor, that sits in back of the ZEOD RC headed for the 24 Hours of Le Mans. At the ZEOD RC's other end is a carbon fiber crash structure that has to be tested against an immovable object, and Nissan has seen fit to show us that, too.
