FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. Nissan's 'No Charge to Charge' is what incentives look like in the EV age [UPDATE]

Nissan knows that offering free charging can increase Leaf sales, so it only makes sense for them to expand the "No Charge to Charge" program. And that's exactly what happened yesterday. As previewed during the New York Auto Show, No Charge To Charge gives new Leaf buyers free charging at participating public charging stations – which is pretty much any public station – for two years. That's the kind of thing that simplifies the EV buying process, which can move units, Brendan Jones, director of Nissan EV sales and infrastructure, told AutoblogGreen. "There is an expectation that we'll get a sales increase out of this," Jones said. "All the dealer has to say is that we have one card that accesses all chargers and we have a promotion where you can get free charging. The more complexity we reduce, the more sales we get." "Leaf customers are not shy about their ability to provide constructive criticism," Jones said, " and interoperability has always been a big concern." Now that many of the early adopters drive an EV, the next target audience are the people who are telling EV companies to "Make this easy for me and I will adopt," Jones said. "[Interoperability] is a necessity for the industry now. We know the experience is great once they drive it. This just takes away a barrier, that confusion at the dealership." And, in some areas in the US, No Charge To Charge is now live. There are 2,600 public stations (200 of them fast chargers) in the initial 10 markets, Nissan says. Those include: San Francisco, Sacramento, San Diego, Seattle, Portland (OR), Nashville, Phoenix, Dallas-Fort Worth, Houston and Washington, DC. Nissan hasn't announced where the next 15 markets will be, but we know that they will likely be wherever the Leaf is selling well and there are a fair number of DC fast chargers. As we reported in April, each charging session in the No Charge To Charge program is limited to 30 minutes if you're plugged into a CHAdeMO fast charge station and to an hour at a Level 2 station.

Carlos Ghosn takes a walk in a park, as lawyer apologizes for disguise

TOKYO — Former Nissan chairman Carlos Ghosn was seen walking in a Tokyo park on Friday, two days after his release in a strange disguise from a Japanese detention center. Ghosn, this time in sunglasses and a Stanford baseball cap (his daughter Caroline's alma mater), was spotted outdoors twice on Friday, strolling outside in the crisp March air. He and several others, believed to be his wife and daughters, visited a downtown Tokyo garden as members of the media trailed them and watched. The intense media attention was what led Ghosn's lawyers to suggest he leave the Tokyo Detention Center after his release on bail Wednesday in a laborer's outfit of cap, surgical mask and high-visibility vest, attorney Takashi Takano said. Many were baffled by the somewhat transparent disguise, which has riveted Japanese tabloid media. One TV show re-enacted his departure. Takano said in a blog post that he took full responsibility for what he called the "theater of disguise." He apologized for its failure. The outfit was confusing but didn't deter media from tracking the small van he traveled in after his release, in a spectacle broadcast live on television. "My immature plan, as a result, has tarnished the reputation that he has devoted his whole life to build," Takano said of his client. Takano asked the media to respect Ghosn's privacy. That plea appeared to go unheeded as cameramen closely followed the celebrity executive as those walking with him stared straight ahead in apparent annoyance. Ghosn, who headed the Renault-Nissan-Mitsubishi Motors alliance, has been charged with falsifying financial reports, under-reporting his income and breach of trust in having Nissan Motor Co. shoulder personal investment losses and make payments to a Saudi businessman. He says he is innocent and that the income allegedly under-reported was never paid or decided, that Nissan never suffered the investment losses and the payments were for legitimate services. In Japan, suspects are routinely kept in detention until preparations for their trials are ready, meaning they are often detained for months. The court rejected two earlier requests by Ghosn for bail. Ghosn led Nissan for two decades, saving the Yokohama-based automaker from near bankruptcy. He was arrested on Nov. 19.
