Nissan and Carlos Ghosn settle SEC claims over undisclosed compensation

WASHINGTON — Nissan and its former Chief Executive Carlos Ghosn have agreed to settle claims from the U.S. Securities and Exchange Commission over false financial disclosures related to Ghosn's compensation, an SEC statement said on Monday. Nissan will pay $15 million, while Ghosn agreed to a $1 million civil penalty and a 10-year ban from serving as an officer or director of a publicly traded U.S. company, the SEC statement said. Ghosn was arrested in Japan and fired by Nissan last year. He is awaiting trial in Tokyo on financial misconduct charges that he denies. Former Nissan human resources official Gregory Kelly agreed to a $100,000 penalty and a five-year officer and director ban. Nissan, Ghosn, and Kelly settled without admitting or denying the SEC's allegations and findings. The SEC said in total Nissan in its financial disclosures omitted more than $140 million to be paid to Ghosn in retirement — a sum that ultimately was not paid. The SEC also accused Ghosn in a suit filed in New York that he engaged in a scheme to conceal more than $90 million of compensation. That suit is being settled as part of the agreement announced Monday. Nissan confirmed it had settled the allegations and said it "is firmly committed to continuing to further cultivate robust corporate governance." Nissan provided significant cooperation to the SEC, the agency said. The company now has a new governance structure with three statutory committees — audit, compensation and nomination — and has amended its securities reports for all relevant years. The SEC said beginning in 2004 Nissan's board delegated to Ghosn the authority to set individual director and executive compensation levels, including his own. The SEC said "Ghosn and his subordinates, including Kelly, crafted various ways to structure payment of the undisclosed compensation after Ghosn's retirement, such as entering into secret contracts, backdating letters to grant Ghosn interests in Nissan's Long Term Incentive Plan, and changing the calculation of Ghosn's pension allowance to provide more than $50 million in additional benefits." "Investors are entitled to know how, and how much, a company compensates its top executives. Ghosn and Kelly went to great lengths to conceal this information from investors and the market," said Stephanie Avakian, co-director of the SEC's Division of Enforcement.

Should heavy-duty pickup trucks have window stickers with fuel mileage estimates?

If you were to stroll into your nearest Chevrolet, Ford, GMC, Nissan, or Ram dealership, you'd find a bunch of pickup trucks. Most of those would have proper window stickers labeled with things like base prices, options prices, location of manufacture, and, crucially, fuel economy estimates. But you'd also run across a number of heavy-duty trucks with no such fuel mileage data from the Environmental Protection Agency. The EPA doesn't require automakers to publish the valuable miles-per-gallon measurement for vehicles with gross weight ratings that exceed 8,500 pounds. That makes it difficult for consumers to compare behemoths powered by turbocharged diesel engines – between one another, and between smaller, gasoline-fueled trucks. Consumer Reports doesn't think it should be this way, and it's spearheading an effort (PDF link) to get the government to require manufacturers to publish fuel economy estimates. In its own testing, CR found that heavy-duty pickups powered by Ford's Power Stroke, GM's Duramax, and FCA's Cummins diesel engines (which doesn't include the Ram's EcoDiesel) get worse fuel mileage than their lighter-duty gas-powered siblings. We're not so sure HD-truck buyers are unaware of this fact – big diesels don't really come into their own until big loads are placed in their beds or attached to their trailer hitches. Under heavy workloads, the diesel trucks will almost certainly return greater efficiency than a similar gas-powered truck. What's more, HD trucks with lumbering diesels in general make the driver feel more confident while towing due to greater torque at low engine RPM than gas trucks. They also offer greater max-weight limits. Still, we agree EPA fuel mileage estimates should be offered for heavy-duty pickups. Recharge Wrap-up: Big Oil fails at renewable fuel, scientists study air with EVs, plug-in Panamera sales

Big Oil companies help keep renewable fuels out of your tank, a new report shows. No surprise there, right? The Renewable Fuels Association published a report card grading the country's largest retail gasoline chains on fuel offerings like E85 and E15. The report gave failing grades, with less than one percent of stations offering E15 or E85, to "Big Five" companies Exxon, BP, ConocoPhillips, Chevron and Shell, among other oil company and convenience/grocery store brands. The only major oil companies that didn't get an "F" were Valero (D), Cenex (B), and Marathon (A-). The eight companies that scored an A+ had at least 25 percent of their stations offering E85 or E15. Beginning July 4, University of Leicester researchers began driving electric vehicles kitted out with special sensors to monitor air quality throughout the city (similar to how California does it). Now their emissions-free daily driving duties double as data collection for their studies. "There is no doubt electric cars are the future." – Nissan's Andy Palmer Nissan is exploring the idea of taking its Leaf EV to India, but a lack of charging options is an obstacle. According to Nissan's chief planning officer Andy Palmer, "There is no doubt electric cars are the future. The product is there, what we need is infrastructure. Charging is a big challenge." Though Nissan stopped short of saying it (this time), this could possibly mean working with Mahindra, which said it is open to collaborating with other companies concerning EVs.
