FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. Renault ousts CEO days after Nissan gets a new one

Tensions between Renault and Nissan, which picked a new CEO on Tuesday, have been high since Ghosn's arrest in Tokyo last year on allegations of financial misconduct, which he denies. Bollore, who was close to Ghosn and had strained relations with Nissan's previous boss, will be replaced on an interim basis by Renault finance director Clotilde Delbos. With new faces at the helm, Renault chairman Jean-Dominique Senard is hoping to draw a line under almost a year of turmoil and revive cooperation between two carmakers once seen as destined to fully merge. That is vital at a time when auto markets are slowing and carmakers are having to invest in costly new technologies as well as meet challenging European emissions regulations. "We're at a new stage now for this alliance. Sometimes you need new management ... to breathe new life into things," Senard, who was brought in earlier this year from tyre maker Michelin, told a news conference in Paris. He said three members of Renault's 18-strong board abstained in the vote to remove Bollore, who hit out at his looming dismissal in a newspaper interview the night before, calling it a coup. Following Ghosn's arrest, a feeling of stagnation around joint Renault-Nissan projects, including on issues such as advancing on cost savings, had begun to set in, people at Renault have said. These would now be the first priority, according to a source close to the carmaker. "There are a lot of concrete matters that have already been identified, including on the industrial front: working on batteries, electric vehicles, connectivity, purchasing and self-driving cars," the source said. Shares in Renault closed up 5.1%. 'Coup de force' Tensions between Renault and Nissan were further inflamed this year, including during various spats over governance reforms, and after a failed deal to pair Renault up with Fiat Chrysler, which withdrew a merger offer. Senard reiterated on Friday that a tie-up with Fiat, which was abandoned in June, was not at present on the agenda.

Nissan IDX production model to get sharper, less retro styling

The Nissan IDx seems like the type of concept that auto enthusiasts wish they could be driving. With a compact size, style inspired by the classic Datsun 510 and a rear-wheel-drive powertrain, it certainly ticks many of the boxes that people want. Unfortunately, the car seems to be miles away from actually getting a green light for production, but rumors about the retro coupe's future keep cropping up.
The last we heard about the IDx, the biggest complication with the coupe was that it was a tough project to make profitable. Nissan didn't have a cheap enough rear-wheel drive platform to make the affordable coupe work. The latest rumors point to a potential solution to this problem. According to Motoring from Australia speaking to an insider close to Nissan, the new plan is to tweak the styling to be less retro and adapt the car to work on the platform for the forthcoming, next-generation Z car.
The new look reportedly cribs from the Nissan Sport Sedan Concept from the 2014 Detroit Motor Show, including its floating roof design and sharper edges around the fenders. In terms of power, the source tells Motoring, the IDx could use a naturally aspirated 2.0-liter four-cylinder engine with around 180 horsepower on tap. That might not sound like too much, but remember the Z car itself is rumored to get smaller and lighter when it's new generation hits the stage. If the weight is low enough, potentially using it for the IDx might just work.
