Nissan may take control of struggling Mitsubishi Motors

Reports say Nissan will buy a controlling stake in Mitsubishi Motors, either 30 or 34 percent, for about 200 billion yen or $1.84 billion. Nissan and Mitsubishi motors are currently part of a joint venture, NMKV, to build minicars together. Nissan is also responsible for reporting fuel-economy discrepancies with cars built under the joint-venture agreement, which put Mitsubishi in its current weakened state. Earlier today, reports surfaced that the fuel-economy issues were wider ranging than originally thought. Mitsubishi now admits that all of its Japanese-market cars sold since 1991 could have had faked fuel-economy data. Shares of Mitsubishi Motors have dropped by about half since the scandal was uncovered, opening the door for a takeover. While Nissan is a much larger company, it can benefit from Mitsubishi's 60-percent share of Japan's minicar market. The two companies also had plans to build electric vehicles together in the joint venture. Employee warned Mitsubishi execs about mileage cheating in 2005

A damning report from the committee brought in to investigate Mitsubishi's alleged fuel economy fixing scandal has revealed a new employee stepped forward and implored the company to play it straight on its mileage data... Eleven years ago. The employee, identified in the report as F, pushed for honesty during a company workshop in February 2005, The Asahi Shimbun reports. The then-new worker told 20 company officials, including senior members of the performance testing department, that the way Mitsubishi measured fuel economy was different from the way government's method. Instead of acting on F's protests, officials said they had no memory of them, the report claims. The four-person committee, made up of lawyers and industry experts, isn't buying the excuse. "It is difficult to accept their explanations that they have no recollections because a new employee pointing out such a problem must have had a (strong) impact," the report read. But F's comments weren't the only internal sign that Mitsubishi allegedly ignored. In a 2011 questionnaire, multiple employees submitted responses claiming that the company had been falsifying data. But according to the committee's report, Mitsubishi's development department issued a report denying there was even a problem, which the company's execs accepted without question. According to The Asahi Shimbun, Mitsubishi CEO Osamu Masuko revealed that an internal investigation – which also denied F's remarks – acknowledged that the company hadn't followed government rules regarding fuel economy measurements since 1991. "We lacked unity needed to detect problems within the company and to solve them," Masuko-san said, backing up the committee report's claim that the company was divided. "From now on, we need to decide how to change our way of thinking." Nissan CEO plans to deliver 'raw details of the misconduct' to Renault

TOKYO/PARIS — Nissan Motor's CEO plans to meet one-on-one with the deputy CEO of automaking partner Renault in Amsterdam this week, sources told Reuters, amid tensions over the future of the alliance after Chairman Carlos Ghosn's arrest last month. The meeting would be the first face-to-face interaction between Nissan's Hiroto Saikawa and Renault's Thierry Bollore since Ghosn was arrested on Nov. 19 in Tokyo. It would take place alongside regular top-level, monthly talks between the partners and Mitsubishi Motor Corp that will be held over two days from Tuesday, according to one of the sources familiar with the matter. Saikawa, who took over from Ghosn as CEO last year, is planning to discuss at the meeting with Bollore possible changes to the partnership's management and operations with an eye to continuing the alliance, another source who is close to Nissan's management said. The talks in Amsterdam could provide Saikawa with an opportunity to try and convince Renault executives of the gravity of Ghosn's alleged misconduct discovered during an in-house investigation by the Japanese automaker. They are being held a day after Saikawa rebuffed a demand from Renault for an extraordinary shareholder meeting that would have offered the French car maker a chance to weigh in on Ghosn's replacement as chairman and on other Nissan board appointments. Mitsubishi Chairman Osamu Masuko said late on Monday he will attend the Amsterdam meetings via video conference. A Nissan spokesman said Saikawa would attend meetings with alliance partners in Amsterdam from Tuesday, but declined to comment on the possibility of the one-on-one meeting with Bollore. Ghosn was charged last week alongside alleged accomplice Greg Kelly and Nissan itself over the company's failure to declare $43 million in deferred income that Ghosn had arranged to be paid while chairman and CEO. Both men remain in custody. The scandal has shaken the Renault-Nissan-Mitsubishi alliance, with Saikawa calling for changes to weaken Renault's control as he moved to oust Ghosn in the week of his arrest. Renault directors were briefed last week on the Nissan investigation that led to Ghosn's arrest but reiterated their earlier decision to keep him in office as chairman and CEO. But the Renault board has yet to be given direct access to Nissan's findings, which are being closely held by Renault lawyers answering to Ghosn's long-standing chief of staff and head of legal affairs at Renault, Mouna Sepehri.
