Nissan reportedly rejecting Renault proposal for closer ties

TOKYO — Nissan Motor Co Ltd will reject a management integration proposal from French partner Renault SA and will call for an equal capital relationship, the Nikkei newspaper said on Monday, citing sources. Nissan's management feels the Japanese company has not been treated as an equal of Renault under existing capital ties, and a merger would make this inequality permanent, the Nikkei reported. The outlook for the alliance — one of the world's top automaking partnerships — has been in focus since the arrest in November of its main architect, Carlos Ghosn, on charges of financial misconduct. The former Nissan and Renault chairman has denied the charges against him and has said he was the victim of a boardroom coup by Nissan executives opposed to closer ties. To which, Bloomberg reported that it has seen emails in which Nissan executives were working with Japanese government officials to defend the company's independence, as Ghosn was pushing for a full merger. The emails indicate growing concern at high levels of the Japanese government, in the months before Ghosn's arrest, that his merger efforts would boost Renault and its largest shareholder, the French government, and harm Nissan, in a relationship the Japanese already saw as lopsided. The emails indicated a desire to keep the existing structure of the alliance with a "re-balancing of the shareholding" to reduce Renault's 43 percent stake in Nissan, and stated that Nissan's independence "should be respected." Nissan declined to comment directly on the emails, while reiterating that misconduct by Ghosn and his former aide, Greg Kelly, is "the sole cause of the chain of events." Renault saved Nissan from the brink of bankruptcy two decades ago and under their current capital alliance, the French company holds greater control over its much larger partner. Nissan Chief Executive Hiroto Saikawa declined to say whether the company had received a merger proposal from Renault. "Now is not the time to think of such things," he told a group of reporters outside of his house in Tokyo. "At the moment we are focused on improving Nissan's earnings performance. Please give us time to do that." Renault declined to comment on the report. Renault has argued in its proposal that an integration would maximize synergies within the French-Japanese alliance, according to the Nikkei. The Financial Times reported last month of Renault's intention to restart merger talks with Nissan within 12 months.

FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. Mitsubishi Outlander PHEV gets more power, range and capabilities

We've driven the Mitsubishi Outlander PHEV a couple of times now, and enjoyed it quite a bit. Even though it's the same version that's been kicking around other markets in its current form for a while now, it was efficient, pleasant to drive, and offers something that is pretty rare right now: a relatively affordable plug-in hybrid midsize crossover. Now, in its home market of Japan, the 2019 Outlander PHEV is getting some significant updates, including more electric power and a bigger gas engine, a bigger battery, improved suspension, two new drive modes and some design tweaks. To start, the PHEV's battery capacity increases from 12 kWh to 13.8 kWh. That boosts its all-electric driving range from 37.8 miles to 40.4 (under Japan's testing cycle). The rear electric motor/generator also gets a slight boost in power. The gas engine increases its displacement from 2.0 to 2.4 liters. The vehicle now offers Sport and Snow modes, and its 4WD Lock mode has been adjusted to better handle poor road surfaces. To improve its ride and handling, Mitsubishi added larger front and rear dampers with a new type of damper valve to the Outlander PHEV. A faster steering ratio and retuned electric power steering control promise better steering feel and response. Mitsubishi has also increased the structural rigidity in parts of the body. Design-wise, the updated Outlander PHEV gets full LED headlights and an updated grille up front. In the rear, there's a new spoiler that improves aerodynamics and gives it a sportier look. Inside, the leather seating gets a new diamond-quilt pattern, along with the door trim. The front seats are also reshaped for more support. The new updates seem like they'll make the Outlander PHEV even more attractive both in terms of performance and design. We doubt that Mitsubishi would choose not offer these improvements in other markets, including the U.S. We've reached out to Mitsubishi to see if and when we can hope to see the improved versions stateside, and we'll update if we hear back.
