FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. Chrysler sold Dodge- and Plymouth-badged Mitsubishis in the United States starting in the early 1970s, but it wasn't until the 1983 model year that Mitsubishi sold cars under their own name on this side of the Pacific. The Diamante made its American debut for the 1992 model year, but it proved unable to steal many sales from the likes of Lexus and Infiniti and not many were sold. Sure, it was big and comfortable, but SUV and minivan sales soon squeezed most wagons out of the American marketplace. Here's a rare '95 station wagon, spotted in a California yard recently. 240,664 miles on the clock, which is much higher than the not-very-trashed interior might suggest. The owner or owners of this car got their money's worth out of it. The 6G72 3.0-liter V6 went into Chrysler minivans, Mitsubishi 3000GTs, and many members of the extended Chrysler K-Car family; production of this versatile engine continued well into our current century. This one was rated at 175 horsepower. Technically, this isn't a Japanese car, since the Diamante wagons were built in Australia. Rumor has it that some 5-speed Diamante wagons were sold in the United States, but I have never seen one. 1995 was the last year for the Diamante wagon in the United States, and the Camry and Accord wagons soon got the axe as well. Japan readying first stealth fighter for 2016 test

The nation of Japan is somewhat unique in terms of the world's militaries. Following its loss in World War II, the country was stripped of its ability to wage war, and its military was reestablished nearly a decade later not as an aggressive force but as a self-defense force. Today, the Japanese constitution forbids the country from maintaining anything but its Ground, Maritime, and Air Self-Defense Forces. Since Prime Minister Shinzo Abe first took office in September 2006 and continuing in his second term, which began in late 2012, Japan's military has seen something of a renaissance. Earlier this year, the country's legislature officially approved a new law that allowed Japan to use its military in international conflicts, even if there's no direct threat to the Home Islands. And even earlier still, Japan announced a desire to increase its drone capability. Now, like the US, Russia, and China, the country is preparing its own stealth fighter. Slated to take to the skies for its maiden flight in early 2016, the Advanced Technology Demonstrator X is a Mitsubishi-built plane that looks like the lovechild of an F-22 Raptor, an F-16 Falcon, and an F/A-18 Hornet. According to the attached video from Bloomberg, the ATD-X carries all the stealth fighter hallmarks. Its shape is designed to minimize its radar cross-section, while the body is coated in radar-absorbent material. And of course, the weapons systems are stored within underbelly bays. But why is Japan even testing it, especially when you consider the company placed an order for 42 F-35 Lightning IIs way back in 2011? Well, for one, it's going to be a lot more affordable than the F-35, which is the single most expensive weapons platform in human history. Where individual F-35s cost around $100 million, depending on what source you're looking at, Bloomberg reports that the ATD-X could be developed for just $324 million. Even if there are some utterly absurd cost overruns and the per-unit cost is closer to astronomical than affordable, putting together a fleet of production ATD-X's is probably going to be cheaper overall.
