Fiat Chrysler and Peugeot boards meet to finalize merger

MILAN/PARIS — The boards of Fiat Chrysler Automobiles and Peugeot will meet separately on Tuesday to discuss finalizing an initial agreement for a $50 billion merger to create the world's number four carmaker, sources said. A source close to FCA said the two companies could announce the signing of a binding memorandum early on Wednesday, followed by a conference call to explain further details later in the day. The two mid-sized carmakers announced plans six weeks ago for a tie-up to help them deal with big challenges in the industry, including a global demand downturn and the need to develop costly cleaner cars to meet looming anti-pollution rules. Ahead of the meetings, entities representing the Peugeot family, Etablissements Peugeot Freres (EPF) and FFP, unanimously approved a proposed memorandum of understanding for the planned merger, a source familiar with the situation said. FCA and PSA have said they would seek to finalize a deal by year-end to create a group with 8.7 million in annual vehicle sales. That would put it fourth globally behind Volkswagen, Toyota and the Renault-Nissan alliance. PSA's Carlos Tavares will be chief executive and FCA's John Elkann — the scion of Italy's Agnelli family, which controls FCA through their holding company Exor — chairman of the combined company. The group will include the Fiat, Jeep, Dodge, Ram, Chrysler, Alfa Romeo, Maserati, Peugeot, DS, Opel and Vauxhall brands, allowing it to serve mass and premium passenger car markets as well as those for trucks and light commercial vehicles. May 2016: FCA wins, Ford and GM stumble on weak car volumes

The May 2016 sales numbers are in, and it looks as though FCA is getting some vindication for boldly cancelling two slow-selling car models. Meanwhile, Ford saw overall sales dip and GM's May volume took a big dive versus the same month in 2015. While Marchionne's decision to axe the Chrysler 200 and Dodge Dart has drawn criticism as being short-sighted, it's working for FCA so far. Although the Dart and 200 aren't out of production yet and no capacity has been shifted to crossover or trucks, May's numbers show that the emphasis on Jeep and Ram models makes sense right now. FCA's US sales rose 1 percent last month compared to May 2015, putting the year-to-date total at 955,186 vehicles, an increase of 6 percent compared to the same period last year. Standouts included the Jeep Renegade, Compass, and Patriot, and the Fiat 500X. Ram pickup sales were down 3 percent. And your fun fact is that Alfa Romeo sales were up precisely 10 percent, for a total of 44 4Cs sold versus 40 in the same month last year. At FoMoCo, the Ford brand took a hit to the tune of 6.4 percent from May 2015 to 2016, registering 226,190 sales last month. Lincoln showed improvement on its modest numbers, going from 9,174 to 9,807, a 6.9 percent increase. Overall, Ford was down 5.9 percent for the month to 235,997; despite the slump, year-to-date total Ford sales are up 4.2 percent to 1,112,939. Strong sellers included Escape, Expedition, F-Series, and Transit - big stuff. Most small and/or efficient models (Fiesta, Focus, Fusion, C-Max) saw sales slides. Fusion sales were also down, likely due to effects of model changeover to the freshened 2017 model. Ford has promised four new crossovers and SUVs by 2020 and if things keep trending this way the company will be able to sell them, but things could change in the next four years. GM saw the worst of it for domestic brands. Retail and fleet sales were down for each of the four divisions, with the May 2016 total dropping 18 percent to 240,450 vehicles. GM's year-to-date sales are down 5.0 percent in 2016 to 1,183,705. Both the Sierra and Silverado were down significantly, and the majority of Chevy, Buick, GMC, and Cadillac nameplates saw sales decreases, with both small cars and larger utilities included. Not even big stuff could help GM this month, it seems. We'll have more on the rest of the industry's May sales as those figures trickle in.

FCA is recalling 164,003 examples of the 2014 and 2015 Jeep Cherokee because moisture can damage the power liftgate controls on models that are equipped with that feature. Regionally, this includes 99,436 of them in the US, 13,195 in Canada, 2,406 in Mexico, and 48,966 outside of NAFTA. The problem came to light after the automaker started investigating a fire in one of the SUVs. There were no injuries, though. According to FCA US' research, the power hatch's control module potentially can be exposed to water. This can cause a short circuit and possibly a fire, as in this case. Until the issue is repaired, the company is advising owners to keep the cargo area dry on Cherokees equipped with this feature. To fix things, dealers will install a shield around the controls to protect them from moisture and will replace any modules showing exposure to water. Statement: Water-Shield Installation June 24, 2015 , Auburn Hills, Mich. - FCA US LLC is voluntarily recalling an estimated 99,436 SUVs in the U.S. to install shields that protect their power liftgate control modules, and related components, from moisture. FCA US LLC began an investigation after learning of a reported vehicle fire. The probe revealed power liftgate control modules in certain SUVs may be inadvertently exposed to water. This may cause a short-circuit, creating a fire hazard. However, the Company is unaware of any related injuries or accidents. The campaign affects model year 2014 and 2015 Jeep Cherokee SUVs, but is limited to vehicles equipped with power liftgates. An estimated 13,195 customers are affected in Canada, along with an estimated 2,406 customers in Mexico and 48,966 outside the NAFTA region. The estimated total recall population is 164,003. All affected customers will be advised when they may schedule service. If the modules show signs of water exposure, they will be replaced. All recall-related work will be performed free of charge. In the interim, the cargo areas of 2014-15 Cherokees equipped with power liftgates should be monitored and kept dry.
