Ford family keeps special voting rights
Fri, 10 May 2013Ford Motor Company has a dual-class stock structure of Class A and Class B shares. The roughly three billion Class A shares are for the general public like you and me, while the roughly 71 million Class B shares are all owned by the Ford family. Each Class A share gets the shareholder one vote, each Class B share is worth 16 votes, the result being that Common Stock holders control about 60 percent of the company while the Ford family controls 40 percent even though it holds far fewer shares. The only way that could ever change would be if the Fords sell their Class B shares, but even so, Class B shares revert to Class A when sold outside the family, so they'd have to sell a whole bunch of them.
A contingent of Class A shareholders think the dual-class system is unfair, and for the past few years a vote's been held during the annual shareholders meeting to end it. It has failed every time, as it just did again during the meeting held this week. A smidge over 33 percent voted to end the dual system, outvoted by the 67 percent who are happy with the way Ford is going - unsurprising in view of a corporate turnaround that will be part of business-class curricula for years to come.
On the sidelines, Ford elected Ellen R. Marram to the post of independent director, the first woman to hold the job. The former Tropicana CEO and 20-year Ford board member replaces retiring board member Irvine Hockaday who helped bring Alan Mulally to the CEO position.
Ford calling in 28k Edge crossovers over fuel line leak
Thu, 16 Jan 2014A problem with the fuel line on certain examples of the Ford Edge has prompted the National Highway Traffic Safety Administration to issue a recall. The issue revolves around the metal housing on the fuel line pulse damper, which was apparently improperly manufactured in the first place and is prone to crack in certain circumstances, leading to a fuel leak. And as we all know, a fuel leak is not a good thing.
The problem affects model year 2012 and 2013 Edge crossovers equipped with the 2.0-liter engine and manufactured between September 2, 2010 and April 25, 2013 - a total of 27,933 units. Although the Lincoln MKX is closely related to the Edge, since it isn't offered with the same engine (to which the problem is related), the recall does not include the premium-badged version. Henry Ford's great grandson turned 16 on December 27, 1964 - two days after Christmas and eight months after the original Mustang went on sale. And that's just what was waiting for him in the driveway, courtesy of his father (and reigning chief executive) Henry Ford II.
The specially-prepared pony car had a pearlescent cream paintjob with narrow blue racing stripes, functional hood scoop, chrome trim, Euro-spec fender-mounted mirrors, a blue leather and aluminum interior, a monogrammed fuel cap... and a 289-cubic-inch V8 under the hood.
