Fiat board makes Chrysler merger official, approves $5.4B bond sale

Fiat's board of directors has officially approved the merger plan that will see the conglomerate's automotive operations merged with Chrysler into the new Fiat Chrysler Automobiles.
The plan essentially provides a road map for the structure of the new company. It includes provisions for Fiat shareholders - one Fiat share will translate to one share of FCA common stock. The new company will also include a loyalty voting structure, which will provide for shareholders of Fiat stock or those that have held FCA stock for at least three years. According to the plan, these shareholders would see their voting power double, with two votes for every share of FCA's common stock. The overall merger plan still needs to be approved by the company's shareholders.
In other Fiat-related news, the company's board has announced a bond issuance of four billion euro ($5.4 billion). The new bonds should provide the company with a degree of flexibility in refinancing debts associated with the merger plan.

Fiat reveals new Aegea Project sedan in Istanbul

You'd be forgiven for boiling Fiat down to the 500 and its growing roster of spinoffs, but overseas the Italian brand sells a wide range of models. Like this new sedan, for example. Unveiled today at the Istanbul Motor Show is the Fiat Aegea Project, in reference to the sea on the western shore of Turkey, where FCA operates one of its largest plants. The Fiat Aegea Project has about the same exterior dimensions as a Ford Focus sedan, with room for five and an array of gasoline and diesel engines ranging from 95 horsepower to 120, mated to a manual or automatic transmission. While tacking a trunk on to a hatchback (or carving a notch out of a sport wagon) may be common practice with some of its competitors, the Aegea was designed from the get-go as a three-box sedan, giving it better balanced proportions. Design work was carried out in Italy at the company's Centro Stile, with development undertaken at the Tofas R&D center adjacent to the Bursa plant where it will be built. Though sure to get a different name before it reaches production, the Aegea is slated to go on sale in Turkey this coming November before rolling out to 40 more markets in Europe, the Middle East and Africa. Just don't expect it to see it nestled between a couple of neo-Cinquecentos in showrooms Stateside. At new vehicle first drives, there's a pretty set series of events before an automaker throws you the keys to their new baby. Predictably, there's a design presentation, a mechanical deep dive, and increasingly, an infotainment system walkthrough. Less known but just as common, however, are the marketing presentations, wherein execs talk about target customers and periodically show print and video 'creative' for their campaigns. Usually, we assembled media dutifully watch, nod and smile when shown commercials, but that's about it. Laugher - let alone universal gales of the stuff - is rare. But that's exactly what Fiat got when it showed us this not-yet-approved ad for its new 500L.
This minute-long Italian Invasion spot has gone on to hit television screens already, largely in a less-effective 30-second form, but we like this full-length director's cut best. It riffs off the historical vibe of some of Chrysler's best efforts over the last few years (the Dodge Challenger Freedom spot comes to mind) with a humorous and sexy play on the Paul Revere "The British Are Coming!" folk tale.
