Fiat/PSA's dominance in small vans hangs up EU's merger approval

BRUSSELS — EU antitrust regulators are concerned about Fiat Chrysler and Peugeot / PSA's combined high market share in small vans and may require concessions to clear their $50 billion merger, people familiar with the matter said. The companies, which are seeking to create the world's fourth biggest carmaker, were told of the European Commission's concerns last week. If Fiat and PSA fail to dispel the European Commission's doubts in the next two days and subsequently decline to offer concessions by Wednesday, the deadline for doing so, the deal would face a four-month-long investigation. The EU competition enforcer, which has set a June 17 deadline for its preliminary review, declined to comment. Fiat was not immediately available for comment while PSA had no immediate comment. Hiving off overlapping businesses, usually a regulatory demand to ensure more competition, could prove tricky for the carmakers because of the technicalities. Fiat and PSA are looking to merge to help offset slowing demand and shoulder the cost of making cleaner vehicles to meet tougher emissions regulations. The deal puts under one roof the Italian carmaker's brands such as Fiat, Jeep, Dodge, Ram, Maserati and the French company's Peugeot, Opel and DS. FCA issues recall for 300k Dodge Chargers over airbag sensor

Fiat Chrysler Automobiles has issued another recall, this time for the Dodge Charger. The issue stems from an overly sensitive control module that could deploy the side-curtain airbag and seatbelt pretensioner if the door is kicked or slammed too hard. The recall affects certain Charger sedans from the 2011-2014 model years, specifically those manufactured between May 6, 2010, and June 5, 2014. All told, that amounts to an estimated 322,078 units, including 284,153 in the United States, another 13,169 in Canada, 2,484 in Mexico, and 22,272 overseas. Owners of those vehicles will be asked to bring their vehicles in to their local dealers to have the Occupant Restraint Control module recalibrated, and are being advised in the meantime to "exercise caution when closing doors." If this issue sounds familiar, that's because the automaker issued a similar recall for Ram trucks just last week, affecting over 667,000 four-door pickups in the United States alone. Following a further investigation into its passenger cars, FCA found a similar problem with the Charger, whose door design mandated specific calibration of the module in question for that model. The company says it is aware of three minor injuries potentially related to the issue, but no accidents. This campaign is just the latest in a string of recall-related issues to have emerged from Auburn Hills recently. The Ram truck recall was issued in tandem with another airbag-related recall for a further million pickups. Prior to that it called in another 1.4 million vehicles to update their infotainment system software due to a security issue. Another 350,000 Dodge Journeys were called in before that to have their engine covers secured. The National Highway Traffic Safety Administration is expected to issue the company a massive hundred-million-dollar fine for failing to follow proper procedures related to safety and recall issues. Meanwhile, another NHTSA investigation that could have affected 4.7 million units was closed with no further action deemed necessary. And an appeal court judge in Georgia reduced the damages the company will be ordered to pay the family of a child who died in a fire in a Jeep Grand Cherokee. CEO Sergio Marchionne curses FCA spokesman for emissions cheating denial

WASHINGTON — Fiat Chrysler Chief Executive Officer Sergio Marchionne reprimanded the company's top U.S. spokesman for issuing press releases about Fiat's vehicle emissions practices days after Volkswagen's disclosure in September 2015 that the German automaker had used illegal software to evade emissions tests, documents released Monday show. Lawyers suing Fiat Chrysler Automobiles in a securities case filed excerpts of an email from Marchionne to Gualberto Ranieri, then the company's U.S. spokesman, in a filing in federal court in New York criticizing him for saying that the company does not use defeat devices. "Are you out of your goddam mind?" Marchionne wrote in an email on Sept. 22, 2015, adding that Ranieri should be fired and calling his actions "utterly stupid and unconscionable." The company said in a statement on Monday it was "understandable that our CEO would have a forceful response to any employee who would opine on such a significant and complex matter, without the matter having been fully reviewed through its appropriate channels." The statement added that Ranieri's comments came just days after VW's emissions issue became public "and before a comprehensive internal review and discussions with component suppliers was possible." Fiat Chrysler was sued in 2015 along with Marchionne and other executives over claims it defrauded shareholders by overstating its ability to comply with vehicle safety laws. An amended version of the complaint filed in 2017 added claims about its compliance with emissions laws. The shareholders accused the defendants of inflating Fiat Chrysler's share price by hundreds of millions of dollars from October 2014 to October 2015 by downplaying safety concerns. They said the shortcomings materialized in 2015 when the automaker was fined $175 million by the National Highway Traffic Safety Administration, and took a roughly $670 million charge for recalls. Plaintiffs filed the excerpts seeking approval to take up to 40 additional depositions, including Marchionne's. The U.S. Justice Department sued Fiat Chrysler in May 2017, accusing it of illegally using software to bypass emission controls in 104,000 diesel vehicles sold since 2014. Fiat Chrysler has held numerous rounds of settlement talks with the Justice Department and California Air Resources Board to settle the civil suit, including talks as recently as earlier this month. It faces a separate criminal probe into the matter.
