FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. 2022 New York Auto Show Roundup | All the reveals, reviews, pictures

NEW YORK — In case you missed it, the New York Auto Show took place this year after being canceled in both 2020 and 2021 due to Covid. A lot of manufacturers showed up in force, but not everybody did. No matter, we were there, and we brought you news, photos and scoops from the floor throughout the show. All of our New York-related stories can be found at our central hub here, but if youÂ’d rather just get a small taste of everything in a quick and digestible format, keep scrolling. 2023 Kia Telluride and its new X-Pro trim Kia revealed the TellurideÂ’s first major refresh at New York, and it makes the three-row crossover a little bit more desirable without screwing up what we liked about it before. ThereÂ’s a new X-Line and X-Pro trim for someone who might want a little more off-road capability, and a number of tech improvements. Most notably, a newly-designed dash features new and bigger screens. 2023 Hyundai Palisade The TellurideÂ’s sister car from Hyundai was treated to a similar refresh. Like the Telluride, Hyundai gave the Palisade a slightly revised look, a new off-road trim (called XRT in the PalisadeÂ’s case), more tech inside and a new dash design with full-width air vents. If we had to choose, weÂ’re a little more impressed with the TellurideÂ’s refresh, as a number of us on staff actually prefer the pre-refresh Palisade styling over the new one. 2023 Jeep Wagoneer L and Grand Wagoneer L This one was inevitable. Jeep revealed the longer, roomier versions of its Wagoneer and Grand Wagoneer in New York, and theyÂ’re designated with an “L” at the end of their names. Total length grows by a foot, and the wheelbase goes up by 7 inches versus the standard Wagoneer models. Jeep has essentially allocated all this extra room to the cargo area, as it now offers a staggering 44.2 cubic-feet of space behind the third row. Besides the L, Jeep announced that its new Hurricane inline-six engine would find its first home in the Wagoneer. Efficiency gets a small boost, and power is more than sufficient at either 420 horsepower (standard output) or 510 horsepower (high-output version) from the twin-turbo I-6. Chrysler Airflow Graphite Concept The Stellantis party continues with Chrysler and its slightly revised Airflow. Re-styled for the New York market after initially debuting at CES in Las Vegas, the Airflow Concept gets new paint, changed accent colors, a slightly changed interior design and a new interpretation of the Chrysler logo.

FCA employees likely to reject UAW contract

For a brief, blissful glimmer of time, it seemed like we might have a period of labor harmony here in the Motor City. The United Auto Workers and Fiat Chrysler Automobiles, the UAW's lead bargaining company, came to a pending agreement that seemed promising enough that union president Dennis Williams, shown above with FCA boss Sergio Marchionne, thought it'd be ratified by the membership. Well, he was wrong. It's widely expected that FCA's rank-and-file workforce will vote against the deal, which gave workers a raise, would establish a VEBA-style healthcare pool, and deliver a $3,000 bonus for signing the agreement, while retaining the much-hated two-tier wage system. According to The Detroit News, it'd be the first time in over three decades the union's general population didn't follow its leadership's recommendation. Two of FCA's big US facilities, Toledo Assembly and Sterling Heights Assembly, overwhelmingly voted no, with The News saying they "mathematically sealed the deal's fate." According to The News, UAW Local 1700 President Charles Bell said roughly 90 percent of SHAP's 3,000-plus union workforce voted "no" on the deal. Should the pending agreement fail as it's expected to, there are three potential avenues for the union. First, as The News details, both sides could return to the bargaining table. Second, FCA workers could hit the picket line. Finally, union leadership may opt to focus its firepower on General Motors or Ford. It's a good thing we aren't the gambling sort, because those all seem very much within the realm of possibility. Not surprisingly, rank-and-file UAW members have taken issue with the survival of the two-tier wage structure, while others simply think that union employees deserve a wage hike. There was also, we're betting, some serious concerns over the reshuffling of production that would come with a new FCA/UAW deal. As previously reported, no fewer than four UAW facilities would have their vehicle lines shuffled around, including both SHAP and Toledo. Expect more news as soon as the UAW formally announces the results of its FCA voting.
