FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. FCA recalling 63k Jeeps, Vipers and Ram ProMaster City vans

Fiat Chrysler Automobiles has announced a pair of recalls cover nearly 63,000 vehicles. The bigger of the two actions covers manual-transmission-equipped vehicles from 2006, including the Jeep Liberty and Wrangler, as well as the Dodge Viper. FCA engineers uncovered that the clutch ignition interlock switches use a kind of wire that was part of a previous recall campaign. Because of this, the company said that affected vehicles may not start, although in rare cases, "if recommended starting procedures are not followed," the affected vehicles may lurch forward after turning the key. Those recommended starting procedures "include activating the parking brake, placing the shift lever in neutral and pressing the clutch pedal before turning the vehicle's ignition key." Recall number two affects the company's 2015 Ram ProMaster City cargo and passenger vans. Owners will need to report to dealers to have a piece of tape removed from the side-curtain airbags. The tape is added during assembly and in some cases, may not have been removed. That could prevent the airbags from deploying in the event of a crash. Just under 59,000 vehicles are included in the first recall, including 43,874 in the United States, 11,309 outside of North America, 2,944 in Canada and 706 in Mexico. The ProMaster City recall includes just over 3,900 vehicles. FCA claims it's unaware of any injuries, fatalities or accidents related to either recall and will perform repairs free of charge. The Company will replace their clutch ignition interlock switches at no charge to customers. The action follows an investigation by FCA US engineers that discovered these vehicles are equipped with switches that contain a certain type of wire implicated in a previous campaign. The wire, which was temporarily substituted by a supplier for the specified material, may break. As a result, the vehicles may not start, and in rare cases – if recommended starting procedures are not followed – a vehicle may exhibit unintended movement when its ignition key is turned. FCA US is unaware of aware of any related injuries or accidents involving this population of vehicles.

Chrysler Recalls Over 566,000 Trucks, SUVs

Fiat Chrysler is recalling more than 566,000 trucks and SUVs in two recalls for malfunctioning fuel heaters that can cause fires and a software glitch can disable the electronic stability control. The recalls bring the newly merged company's total for the year to 6.4 million vehicles worldwide and 5.1 million in the U.S. as it continues to struggle with reliability problems. It was not immediately clear whether those totals were annual records. On Tuesday, its longtime quality chief abruptly left after Fiat Chrysler performed poorly in Consumer Reports magazine's annual reliability rankings. The largest of two recalls announced Wednesday covers almost 382,000 Ram 2500 and 3500 pickups and Ram 4500 and 5500 chassis cabs from 2010 through 2014. In trucks with 6.7-Liter Cummins diesel engines, corrosion on a fuel heater terminal could cause overheating, fuel leaks and fires. Chrysler is not aware of any fires or injuries. Owners could be warned by an odor of diesel fuel. Customers will be notified by letters starting in December. Dealers will install upgraded terminals and fuel heater housings could be replaced. The second recall covers more than 184,000 Jeep Grand Cherokee and Dodge Durango SUVs from 2014. A debris cover over a circuit board in the steering column control module can disrupt communications and disable the stability control. The problem was discovered when dealers started getting reports from customers that electronic stability control warning lights were coming on. Fiat Chrysler says it knows of no crashes or injuries caused by the problem. Technicians will upgrade software to fix the SUVs, and customers will be notified in December. Fiat Chrysler has issued 33 global recalls and 27 in the U.S. so far this year. Doug Betts, its longtime quality chief, left the company to pursue other options after Consumer Reports' survey-based rankings this year showed four FiatChrysler brands at the bottom of its list. Dodge, Ram, Jeep and Fiat performed worst of 28 brands ranked by the magazine. Company spokesman Eric Mayne said Fiat Chrysler's recalls average fewer than 200,000 vehicles each, below the industry average of 301,000. That means the company is responding quickly to problems, he said, adding that eight of its 27 U.S. recalls were announced before the company received any consumer complaints. Chrysler is not alone with a high number of recalls so far this year.
