Fiat To Pay $3.65 Billion For Remaining Chrysler Shares

Italian automaker Fiat SpA announced Wednesday that it reached an agreement to acquire the remaining shares of Chrysler for $3.65 billion in payments to a union-controlled trust fund. Fiat already owns 58.5 percent of Chrysler's shares, with the remaining 41.5 percent held by a United Auto Workers union trust fund that pays health care bills for retirees. Under the deal, Fiat will make an initial payment of $1.9 billion to the fund, plus an additional $1.75 billion upon closing the deal. Chrysler will also make additional payments totaling $700 million to the fund as part of an agreement with the UAW. The deal is expected to close on or before Jan. 20, according to a statement from Chrysler. Sergio Marchionne, CEO of both Fiat and Chrysler, has long sought to acquire the union's shares in order to combine the two companies. "The unified ownership structure will now allow us to fully execute our vision of creating a global automaker that is truly unique in terms of mix of experience, perspective and know-how, a solid and open organization," Marchionne said in a statement issued by Turin, Italy-based Fiat. The deal eliminates the need for an initial public offering of the union fund's stake, which analysts had previously valued at $5.6 billion. Fiat went to court last year seeking a judgment on the price, but the trial date was set for next September. Marchionne can't spend Chrysler's cash on Fiat's operations unless the companies merge. In recent months he made it clear that he preferred to settle the dispute without an IPO, but filed the paperwork for the offering in September at the trust's request. Chrysler's profits have helped prop up Fiat on the balance sheet as the Italian automaker struggles in a down European market. The Auburn Hills, Mich., automaker earned $464 million in the third quarter on U.S. sales of the Ram pickup and Jeep Grand Cherokee, its ninth-straight profitable quarter. Lexus LC 500 dominates 2016 EyesOn Design Awards

The Lexus LC 500 captured top honors for the best-designed production car and the best interior at the 10th annual EyesOn Design awards at the Detroit Auto Show. The awards are handed out by the Detroit Institute of Ophthalmology. The Buick Avista won the concept car category, just as its four-door predecessor, the Avenir, did last year. Other winners this year included the Chrysler Pacifica, which won for the best-designed production "truck" (as crossovers and minivans are sometimes categorized), and the Audi H-Tron Quattro, which won for the best concept truck. The Acura Precision concept was also recognized for its "innovative use of color, graphics, and materials." And the new Volvo S90 was singled out for its human-machine interface. The panel of jurists this year included designers from an array of automakers and art schools. Several past honorees for the organization's LifeTime Design Achievement Award participated in the voting, including GM's Wayne Cherry, BMW DesignworksUSA founder Chuck Pelly, Hyundai's Peter Schreyer, and Jack Telnack (formerly of Ford). Telnack also served on the select panel of chief judges this year, alongside Chris Chapman from Hyundai, Dave Marek from Acura, and Stewart Reed from the Art Center College of Design. 26k Chrysler 200 models recalled over parking woes

Chrysler is recalling nearly 26,000 of its 2015 200 sedans after customers reported that cars aren't shifting into park. Only vehicles equipped with the 3.6-liter V6 are affected by the recall, which includes both front-drive and all-wheel-drive models (which could represent as much as 20 percent of the recalled vehicles). The roughly 26,000 vehicles were built between March 17, 2014 and September 20, 2014. As for where those vehicles can be found, 22,107 were sold in the United States. The remaining vehicles went to Canada and Mexico, with 3,600 in the former and 213 in the latter. Chrysler is blaming the recall on "inconsistent assembly procedures" at a supplier's factory, and will replace the transmissions of any vehicles affected by the defect. Owners of V6-powered 200s are being told to use their parking brake in addition to shifting into park. Although five incidents have been reported, FCA isn't aware of any injuries or accidents. There are an estimated 22,107 in the U.S.; 3,600 in Canada and 213 in Mexico. Customers will be advised when they may schedule service. FCA US dealers will inspect and, if required, replace transmissions at no charge. In the interim, customers who own models with V-6 engines are advised to activate the vehicle's parking brake before shutting off its engine, because the shifter may incorrectly indicate park is engaged.
