FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. Ferrari stock sale pegged for October, or later

The Ferrari IPO is still coming, but it won't be before Columbus Day (Monday, October 12, that is), according to Fiat Chrysler Automobiles CEO Sergio Marchionne. The outspoken exec is blaming tax reasons for the fourth-quarter date, according to a report from Reuters. Marchionne said a full year needed to pass between FCA's October 13, 2014 Wall Street debut and any additional listing. This isn't the first delay in the Ferrari IPO. FCA was originally supposed to make a 10-percent offering of Ferrari during second or third quarter of 2015, before officially pushing things back to the third quarter of this year. Now, it's unclear if Ferrari will even go public before the dawn of 2016. Chrysler 300 SRT dead in US, updated elsewhere

The Chrysler 300 SRT is officially dead here in the US, but the sedan's big V8 continues to rumble in a handful of other markets around the world. In fact, the model just received a refresh abroad to fit the standard version's recently updated styling. According to Car and Driver, customers in countries like Australia, Japan, South Africa, South Korea, and a few other places can stop by their local Chrysler dealer soon to pick up some of this imported muscle. For the refresh, the 300 SRT's 6.4-liter V8 remains under the hood producing 470 horsepower, and it's now hooked up to an eight-speed automatic gearbox. The styling also gets some updates like LED lights in the lower air dam, a reshaped mesh grille with the SRT logo, and a simplified design for the taillights. If it seems odd to go to the work of updating the 300 SRT's styling, while killing off the model in the US, the reason has to do with FCA's brand strategy here. Dodge is supposed to be the automaker's performance marque in America, and according to Car and Driver, Jeep gets to keep SRT branding on the Grand Cherokee because of the brawny SUV's popularity. That might not last much longer, because reports suggest a Hellcat-powered Trackhawk is on the way. Related Video:
