To grease the skids for Stellantis, PSA offers to boost Toyota's fortunes

BRUSSELS/MILAN — Peugeot maker PSA has offered to boost Japanese rival Toyota to try to address EU antitrust concerns about its plan to create the world's fourth-biggest carmaker, to be called Stellantis, by merging with Fiat Chrysler, people familiar with the matter said on Friday. PSA has offered to increase the production capacity for Toyota in their van joint venture, one of the sources said. Another source said the French company would sell the vans at close to cost. PSA makes vans for Toyota in its Sevelnord plant in northern France. The van collaboration started in 2012. PSA submitted its offer to the European Commission earlier on Friday, three months after the EU enforcer opened a full-scale investigation into the deal with FCA on concerns that it would hurt competition in small vans in 14 EU countries and Britain. "As of now, the transaction has obtained merger clearance in 14 jurisdictions. As previously stated, closing of the transaction is expected to occur in the first quarter of 2021," PSA and FCA said in a joint statement. The Commission, which temporarily halted its investigation into the deal in July while waiting for the companies to provide requested data, did not set a deadline for its decision. "The deadline is still suspended. This procedure in merger investigations is activated if the parties fail to provide, in a timely fashion, an important piece of information that the Commission has requested from them," the EU executive said. Marchionne recruiting activist investors to prompt GM merger

Sergio Marchionne may have been rebuffed in his previous advances at General Motors, but he's not about to give up that easily. According to The Wall Street Journal, the Fiat Chrysler chief is now turning to activist investors to help coax GM into joining forces. Marchionne has been a staunch and ceaseless advocate of the need for consolidation, arguing that the industry needs to amalgamate into larger groups that will share resources and reduce overhead. Under his leadership, the Fiat group consolidated its own operations, and officially merged with Chrysler last year. But he's also been pursuing additional mergers with the likes of Volkswagen, Peugeot, Ford, and Opel (to name just a few). Now he's pursuing a merger with GM, which has not shown much enthusiasm towards the idea. For one thing, GM is a much larger company, and probably doesn't need FCA as much as FCA needs it. For another, it has a troubled past with Marchionne, who in 2005 dissolved an agreed merger (of sorts) with GM, yet still managed to get the General to pay Fiat some $2 billion in the process. However, Marchionne is evidently hoping that the intervention of activist investors could compel GM CEO Mary Barra and company to proceed with a merger anyway. For precedent, he's looking at the recent negotiation between GM and some of its stakeholders that prompted the company to buy back $5 billion of its own shares, demonstrating Barra's willingness to deal with investors. The more compelling precedent, however, may have been set in 2006, when activist investor Kirk Kerkorian locked arms with Carlos Ghosn to get GM to consider joining the alliance between Renault and Nissan. GM ultimately declined, and Ghosn turned instead of Daimler (which of course has its own history of having merged with Chrysler). Only time will tell if this initiative will prove more successful, but one thing's for sure, and that's that Marchionne isn't about to relent in his pursuit of a major merger partner.

2017 Chrysler Town & Country shows its 200-inspired face

Chrysler's new Town & Country is expected to debut in the next several months, featuring a new plug-in hybrid powertrain on top of a new look. While we're still short on details about the new propulsion system, a new round of spy photos is giving us a great look at the T&C's modernized aesthetic. In short, think of a puffed up, ultra-versatile Chrysler 200, and you'll have an idea of what the new Town & Country will look like. Spied on what we're guessing is Fiat Chrysler's US headquarters – seeing body shells like this just hanging around the Auburn Hills, MI campus isn't strange, although this does seem like an especially haphazard case – the new van's look is far less upright than the current model. In general, this new vehicle should be sleeker and, dare we say, more compact than the current Town & Country. Alongside the all-wheel-drive plug-in model, our spies report the new T&C will be offered with a 3.2-liter V6, which we're betting was pilfered from the Cherokee, the only other FCA model to use the smaller version of the Pentastar. It's unclear if all-wheel drive will be featured on the ICE-only model. Beyond the class-exclusive PHEV powertrain, our spies report the new van will combat the Honda Odyssey's nifty, built-in vacuum cleaner with a unit of its own. Other innovations will include hands-free side doors – we're guessing these would be some version of the increasingly popular smart tailgates, which simply require a kick of the foot to open. Of course, we'll know all about the new Town & Country early next year, with its expected debut slated for the 2016 Detroit Auto Show.
