Fiat To Pay $3.65 Billion For Remaining Chrysler Shares

Italian automaker Fiat SpA announced Wednesday that it reached an agreement to acquire the remaining shares of Chrysler for $3.65 billion in payments to a union-controlled trust fund. Fiat already owns 58.5 percent of Chrysler's shares, with the remaining 41.5 percent held by a United Auto Workers union trust fund that pays health care bills for retirees. Under the deal, Fiat will make an initial payment of $1.9 billion to the fund, plus an additional $1.75 billion upon closing the deal. Chrysler will also make additional payments totaling $700 million to the fund as part of an agreement with the UAW. The deal is expected to close on or before Jan. 20, according to a statement from Chrysler. Sergio Marchionne, CEO of both Fiat and Chrysler, has long sought to acquire the union's shares in order to combine the two companies. "The unified ownership structure will now allow us to fully execute our vision of creating a global automaker that is truly unique in terms of mix of experience, perspective and know-how, a solid and open organization," Marchionne said in a statement issued by Turin, Italy-based Fiat. The deal eliminates the need for an initial public offering of the union fund's stake, which analysts had previously valued at $5.6 billion. Fiat went to court last year seeking a judgment on the price, but the trial date was set for next September. Marchionne can't spend Chrysler's cash on Fiat's operations unless the companies merge. In recent months he made it clear that he preferred to settle the dispute without an IPO, but filed the paperwork for the offering in September at the trust's request. Chrysler's profits have helped prop up Fiat on the balance sheet as the Italian automaker struggles in a down European market. The Auburn Hills, Mich., automaker earned $464 million in the third quarter on U.S. sales of the Ram pickup and Jeep Grand Cherokee, its ninth-straight profitable quarter. The American Customer Satisfaction Index or ACSI released its updated numbers and according to the survey, new car buyer satisfaction is down for the third straight year. According to an ACSI press release, customer satisfaction with new automobiles has fallen 3.7 percent, to 79 on its 100-point scale. The ACSI report is based on over 4,100 customer surveys collected in the second quarter of 2015 Sitting at the top of the industry in customer satisfaction is Toyota's Lexus brand with a score of 84. Which was good enough to dethrone Mercedes-Benz, which fell 3% to a score of 83. Of the Big Three, Ford was the only domestic automaker to maintain overall customer satisfaction with its score of 81. General Motors slipped 3% to 79 and Fiat Chrysler had a 5% drop, registering a score of 75 out the possible 100. What's driving this trend of customer dissatisfaction? Recharge Wrap-up: Renault-Nissan at COP22, BMW launches Cruise e-Bike

The Renault-Nissan Alliance has been chosen to provide a fleet of electric cars for the UN's COP22 Climate Conference in Marrakesh, Morocco. The group will provide 50 passenger EVs – the Renault Zoe, Nissan Leaf, and Nissan e-NV200 – to shuttle delegates to and from conference venues. The Alliance will also provide more than 20 charging stations to support the shuttle fleet. The group provided electric shuttles for the historic COP21 summit in Paris last year. Read more from Renault-Nissan. FCA, Iveco, and gas grid company Snam have signed an agreement to boost natural gas as a cleaner alternative fuel for Italy. Under the Memorandum of Understanding, FCA and Iveco will work together to develop CNG vehicles, while Snam will invest in CNG supply facilities like filling stations to support a growing fleet. Italy leads Europe in the amount of natural gas consumed for transport, with 1 million vehicles currently on the road. Read more at Green Car Congress. LG Chem has officially announced it will build a battery plant in Poland to the tune of about $340 million. Located near Wroclaw in southwestern Poland, the plant is expected to produce 100,000 batteries a year for 200-mile EVs beginning in 2019. The plant could help Poland in its goal to reduce pollution by introducing a million EVs on its roads by 2025. "We will turn the Poland EV battery plant into a mecca of battery production for electric vehicles around the world," says UB Lee, President of LG Chem's Energy Solution Company. Its Bosch Performance Line electric motor provides electric assistance at speeds of up to 15 mph. The battery can be either be removed or remain on the bike for charging, which takes 3.5 hours for a full charge. "BMW aims to be the leading provider of premium mobility services, and our bicycle collection furthers that mission," says BMW Accessory and Lifestyle Manager Eric Riehle.
