FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. FCA scion John Elkann tries to pull off a Marchionne-sized merger

MILAN, Italy — When John Elkann lost his ally last year with the sudden death of Sergio Marchionne, some questioned whether the softly-spoken scion of the Agnelli clan would be able to emerge from his shadow to ensure Fiat Chrysler's future. But New York-born Elkann, who became Fiat chairman in 2010, acted decisively to fill the vacuum left by the larger-than-life Marchionne and get closer to the big merger deal the legendary executive was unable to deliver. At just 28, Elkann was thrust into the role of Fiat vice chairman after the deaths of his grandfather and great-uncle "because there was really nobody else" to take the wheel. For Elkann, who got his first taste of the car industry as an intern at a factory producing headlights in Birmingham, England, the first 18 months with responsibility for the family-owned carmaker and its long heritage were "terrible." But from that low point, Elkann, 43, is now trying to merge Fiat Chrysler (FCA) with French rival Renault to form the world's third largest carmaker and tackle new challenges facing the industry. Elkann will become chairman of the merged FCA-Renault if the deal goes ahead, ensuring the Agnelli dynasty plays a central role in the next chapter of automotive history. At an event in Milan on Monday, the usually-shy Elkann looked happy and confident. His first big break came with an instrumental role in persuading Marchionne, who was running one of the businesses owned by the Agnelli family, to become chief executive in 2004 and give Fiat "a new start," Elkann said in a "Masters of Scale" podcast last year. Fiat was at the time almost on the brink of collapse. This involved a "very long night ... and many grappas" but proved to be a turning point in the fortunes of the Italian company founded by Elkann's great-great-grandfather Giovanni Agnelli, which built its first car in 1899. In 2005, Elkann backed Marchionne in negotiating the breakup of an alliance Fiat had entered into with General Motors in 2000, receiving $2 billion from GM in return for canceling a deal that could have required GM to buy the remainder of Fiat Auto. Marchionne then used GM's money to fund a turnaround at Fiat, which involved taking the Italian carmaker into a transformation alliance and then full-blown merger with U.S. automaker Chrysler as Elkann agreed to the Agnellis loosening their grip.

FCA's SEMA vans: A Ram ProMaster bar and a Mopar'd Pacifica

For this year's SEMA show, FCA created six machines that range from mild to wild, and what we have here are the two mildest examples: a custom Ram ProMaster and an accessorized Chrysler Pacifica. Of the two, the ProMaster is easily the more interesting. It's called the BrewMaster and it's a rolling bar. Get it? View 11 Photos The pub-themed interior has a variety of custom touches, including Mopar neon signs and beer taps with shift-knob handles. The outside gets some conceptual parts as well. The grille loses the crosshair design in favor of a large-font "RAM" badge in the center, similar to the one on the Ram Rebel. It also gets some custom 20-inch wheels and large fender flares to accommodate the wider rubber. The message here: Don't drink and drive, but definitely drive somewhere and drink. The Pacifica has far fewer custom goodies, and, sadly, no Hellcat powertrain, but that means what you see is something you could realistically replicate at a dealer. Called the Pacifica Cadence, this van is a rolling showcase of Mopar accessories. The newest piece is a running board that is designed to look like part of the sheetmetal, as opposed to a tacked-on aftermarket accessory. We'd say it's fairly successful if not super-exciting. View 7 Photos The Pacifica also features loads of other Mopar bits including the roof rack, dog kennel, all-weather floor mats, and wireless charging pad. Aside from the custom wrap and painted wheels, you could outfit your own Pacifica identically using a Mopar catalog. As for the BrewMaster, that might require a bit more custom work.
