Fiat To Pay $3.65 Billion For Remaining Chrysler Shares

Italian automaker Fiat SpA announced Wednesday that it reached an agreement to acquire the remaining shares of Chrysler for $3.65 billion in payments to a union-controlled trust fund. Fiat already owns 58.5 percent of Chrysler's shares, with the remaining 41.5 percent held by a United Auto Workers union trust fund that pays health care bills for retirees. Under the deal, Fiat will make an initial payment of $1.9 billion to the fund, plus an additional $1.75 billion upon closing the deal. Chrysler will also make additional payments totaling $700 million to the fund as part of an agreement with the UAW. The deal is expected to close on or before Jan. 20, according to a statement from Chrysler. Sergio Marchionne, CEO of both Fiat and Chrysler, has long sought to acquire the union's shares in order to combine the two companies. "The unified ownership structure will now allow us to fully execute our vision of creating a global automaker that is truly unique in terms of mix of experience, perspective and know-how, a solid and open organization," Marchionne said in a statement issued by Turin, Italy-based Fiat. The deal eliminates the need for an initial public offering of the union fund's stake, which analysts had previously valued at $5.6 billion. Fiat went to court last year seeking a judgment on the price, but the trial date was set for next September. Marchionne can't spend Chrysler's cash on Fiat's operations unless the companies merge. In recent months he made it clear that he preferred to settle the dispute without an IPO, but filed the paperwork for the offering in September at the trust's request. Chrysler's profits have helped prop up Fiat on the balance sheet as the Italian automaker struggles in a down European market. The Auburn Hills, Mich., automaker earned $464 million in the third quarter on U.S. sales of the Ram pickup and Jeep Grand Cherokee, its ninth-straight profitable quarter. The 2017 Pacifica Hybrid is finally heading to dealers after delays

Did you order a Chrysler Pacifica Hybrid some time ago? Chances are you might be getting it soon-ish. Production of the hybrid Pacificas started way back in December, but for an undisclosed reason FCA chose not to ship the finished cars to dealers. It hints of a hitch somewhere in the production, but perhaps it's best for the manufacturer to get the cars right the first time rather than face customer wrath. Detroit Free Press says the minivans started shipping to dealers on Monday, after months of delays, and that there have been 700 orders for the Pacifica Hybrid by April 7th. As a FCA representative said to DFP: "As with all launches, but particularly in the case of this technically advanced vehicle, we are taking great care to ensure that the Pacifica Hybrid comes off the line with the highest quality possible. We will only introduce a vehicle when we are fully satisfied the vehicle meets or exceeds customer expectations." FCA hasn't disclosed how many of the delayed hybrids have been shipped. Any customer who has ordered a Pacifica Hybrid before March 30 th is eligible for either a Visa gift card worth $500 or a 240-volt Level 2 charger, which should charge the van's li-ion batteries in two hours. The Pacifica Hybrid is the first plug-in hybrid vehicle in its class, and it reportedly has a range of 566 miles, returning 84 mpg. Woman throws coffee at man over handicapped parking spot

A Toronto area busybody started a decidedly un-Canadian altercation over a woman illegally parking in a handicapped parking spot this week. He now regrets his decision to film it. On March 21, Ryan Favro confronted a young woman outside the Tim Hortons in Toronto as she approached her jeep with two cups of iced coffee. The situation quickly escalated, and ended with the woman hurling obscenities and both of her coffees at Favro before driving off. Favro quickly uploaded his video to Facebook where it quickly became viral, garnering more than a million views and spreading as far as New Zealand. Toronto Police caught wind of the video, which clearly shows the woman's face and the license plates of her Jeep, and issued her a warning. "We've cautioned her for assault and parking in a disabled spot, which is really what we can do under the circumstances," said Toronto Police spokesman Mark Pugash. Favro changed his mind about the public shaming by mid-week and, in a futile attempt to put the genie back in the bottle, he removed the video from his Facebook page. "I don't want to grind this woman into the ground," he said. "There has to be a way for her to recover." His attempt to walk back his video and make the situation go away have not been particularly successful, however. Although he took the original video down, it has been copied and posted so often by now that it has become impossible to completely erase it. His attempts to do so, and his post about it on Facebook, have received some mixed feedback. "If the guy was feeling remorse for publishing it [the video], perhaps he should not have posted it online and just go to police," said Facebook user Laura Dixon.
