Fiat To Pay $3.65 Billion For Remaining Chrysler Shares

Italian automaker Fiat SpA announced Wednesday that it reached an agreement to acquire the remaining shares of Chrysler for $3.65 billion in payments to a union-controlled trust fund. Fiat already owns 58.5 percent of Chrysler's shares, with the remaining 41.5 percent held by a United Auto Workers union trust fund that pays health care bills for retirees. Under the deal, Fiat will make an initial payment of $1.9 billion to the fund, plus an additional $1.75 billion upon closing the deal. Chrysler will also make additional payments totaling $700 million to the fund as part of an agreement with the UAW. The deal is expected to close on or before Jan. 20, according to a statement from Chrysler. Sergio Marchionne, CEO of both Fiat and Chrysler, has long sought to acquire the union's shares in order to combine the two companies. "The unified ownership structure will now allow us to fully execute our vision of creating a global automaker that is truly unique in terms of mix of experience, perspective and know-how, a solid and open organization," Marchionne said in a statement issued by Turin, Italy-based Fiat. The deal eliminates the need for an initial public offering of the union fund's stake, which analysts had previously valued at $5.6 billion. Fiat went to court last year seeking a judgment on the price, but the trial date was set for next September. Marchionne can't spend Chrysler's cash on Fiat's operations unless the companies merge. In recent months he made it clear that he preferred to settle the dispute without an IPO, but filed the paperwork for the offering in September at the trust's request. Chrysler's profits have helped prop up Fiat on the balance sheet as the Italian automaker struggles in a down European market. The Auburn Hills, Mich., automaker earned $464 million in the third quarter on U.S. sales of the Ram pickup and Jeep Grand Cherokee, its ninth-straight profitable quarter. 2015 Chrysler 300 First Drive [w/video]

When Chrysler last updated its 300 in 2011, the fullsize sedan market was a very different place than it is today. Ford's redesigned Taurus was in showrooms, sure, but segment stalwarts like the Toyota Avalon and Chevrolet Impala were languishing at the tail end of their model cycles. And still, the second-generation 300 (not counting the "letter series" cars from the 1950s and '60s, of course) failed to recapitulate the booming success of the model reboot in 2004. Something in the combination of the down economy, higher gas prices and great product from front-wheel-drive entries in the class kept the 300 from the six-digit sales numbers it saw in the early 2000s. For the 2015 model year, Chrysler hopes that a more clearly defined purpose for its big sedan, combined with liberal dipping into the corporate tech toy box, will rekindle buyer interest. Considering the mild characters and front-driver dynamics of its mainstream competition, the promise of V8 power and rear-wheel drive should at least turn the heads of those looking for a car with a little edge. I grabbed the keys of the edgiest of the bunch, the sport-intended 300S, and found a big sedan that gives away some practicality to the rest of its segment mates. The trade-off for the dip in pragmatism is an uptick and driving fun and attitude that should make all the difference for the right buyer. Even though the hard-to-miss face of the 300 has come in for another nip and tuck, that attitude is still clearly on display, too. The grille of the 300 is some 33-percent larger than the outgoing model, though it's still far less brutal than the throwback styling of the 2005 "Baby Bentley" car, at least to my eyes. The cheese grater insert is metallic in most trims of the 300, though the 300S you see in my photo set gets the meaner blacked-out treatment. A quick scroll through our gallery will show you that the rest of the 300 has been similarly changed but not reinvented. Light clusters front and rear are revised, the rear clip has been re-forged with less busy styling, and the whole car has been de-chromed to a large extent (this 300S is wearing the least blingy outfit of the bunch). That rear spoiler is S-model specific. I held the existing 300 interior in fairly high regard, and this new car improves on that base.

Hellcat no help to Fiat-Chrysler's bottom-of-the-pile mpg average

What, you expected the "fastest muscle car ever" to help fleetwide fuel economy? Nope, don't think that's going to happen. That means Fiat Chrysler will likely to continue to languish at the bottom of the heap when it comes to fleetwide fuel economy among the largest automakers serving the US, especially as the automaker starts to sell its Dodge Challenger SRT Hellcat. A few hundred Fiat 500E electric vehicles aren't going to turn the trend around. See, Chrysler has once again finished at the bottom of the list when it came to fleetwide fuel economy among automakers for 2014 model-year vehicles, according to a preliminary study by the US Environmental Protection Agency. Chrysler and Fiat had an average of 21.1 miles per gallon. That substantially lagged the overall 24.2 mpg average, but it was an increase from the company's 20.9 mpg average last year and the 20.1 mpg average two years prior. For 2014, General Motors had the second-worst fleetwide fuel economy at an even 22 mpg. Fiat Chrysler does say it's working on improving its fuel economy, according to Automotive News. The company plans on making its inline-four-cylinder and V6 engines smaller, and will sell more vehicles with eight- and nine-speed transmissions. Heck, there's even a plug-in hybrid version of the Chrysler Town & Country minivan in the works for late 2015, and the company can tout fuel-efficiency gains with the Chrysler 200 and Jeep Cherokee. We would be remiss if we didn't note that, compared to its muscle-car forefathers, the Hellcat actually performs pretty well at the pump. Last month, word got out that the 2015 Challenger Hellcat, equipped either with a six-speed manual or an eight-speed automatic transmission, got a combined fuel economy of 16 mpg. Heck, the automatic-tranny version got 22 mpg on the highway. And that's for a car with 707 horsepower and a 10-second quarter-mile time. Still, with the pedal floored, the car can burn a gallon and a half of fuel per minute. Ouch.
