Fiat To Pay $3.65 Billion For Remaining Chrysler Shares

Italian automaker Fiat SpA announced Wednesday that it reached an agreement to acquire the remaining shares of Chrysler for $3.65 billion in payments to a union-controlled trust fund. Fiat already owns 58.5 percent of Chrysler's shares, with the remaining 41.5 percent held by a United Auto Workers union trust fund that pays health care bills for retirees. Under the deal, Fiat will make an initial payment of $1.9 billion to the fund, plus an additional $1.75 billion upon closing the deal. Chrysler will also make additional payments totaling $700 million to the fund as part of an agreement with the UAW. The deal is expected to close on or before Jan. 20, according to a statement from Chrysler. Sergio Marchionne, CEO of both Fiat and Chrysler, has long sought to acquire the union's shares in order to combine the two companies. "The unified ownership structure will now allow us to fully execute our vision of creating a global automaker that is truly unique in terms of mix of experience, perspective and know-how, a solid and open organization," Marchionne said in a statement issued by Turin, Italy-based Fiat. The deal eliminates the need for an initial public offering of the union fund's stake, which analysts had previously valued at $5.6 billion. Fiat went to court last year seeking a judgment on the price, but the trial date was set for next September. Marchionne can't spend Chrysler's cash on Fiat's operations unless the companies merge. In recent months he made it clear that he preferred to settle the dispute without an IPO, but filed the paperwork for the offering in September at the trust's request. Chrysler's profits have helped prop up Fiat on the balance sheet as the Italian automaker struggles in a down European market. The Auburn Hills, Mich., automaker earned $464 million in the third quarter on U.S. sales of the Ram pickup and Jeep Grand Cherokee, its ninth-straight profitable quarter. FCA may sell off Magneti Marelli

FCA is reportedly just days away from filing the official prospectus for the Ferrari initial public offering, and it could put the Italian sportscar maker's value at $11 billion. Although, Sergio Marchionne always seems to have another iron in the fire, and his next big deal could shed the automotive giant's Magneti Marelli parts business to the tune of $3.3 billion. According to Reuters citing anonymous insider sources, at least two private equity firms are considering joint submitting bids with firms already in the industry. This deal has reportedly been in the works for at least the last few weeks. According to Reuters, FCA already rejected a roughly $2.7-billion offer in June. Marchionne apparently wants at least the equivalent of $3.3 billion for the company. Publicly, FCA isn't talking, though. Company spokesperson Gualberto Ranieri told Reuters and reiterated to Autoblog simply that Magneti Marelli wasn't for sale. However, a move to get rid of the parts company has been discussed in the past. In 2013, the business was rumored to be part of a purported arrangement to sell Alfa Romeo to Audi. While there's no final decision yet, according to Reuters, if the Magneti Marelli sale does move forward the decision would likely come sometime after the Ferrari IPO. 2017 Chrysler Pacifica scores near top on minivan mpg

The 2017 Chrysler Pacifica gets 28 miles per gallon fuel economy on the highway, 18 mpg city, and 22 mpg combined, according to the government's newly announced estimates. Those figures compare well to the 2016 Town & Country's EPA rating of 25 mpg highway, 17 mpg city, and 20 mpg combined. They also make the new minivan among the most efficient models in its class, although not quite the king. These fuel economy figures only apply to the 2017 Pacifica with the 3.6-liter V6, which makes 287 horsepower and 262 pound-feet of torque, and the nine-speed automatic. We will have to wait until the second half of the year to find out how the plug-in hybrid performs, but the brand believes at least 80 MPGe is possible. Chrysler also plans to make stop-start available later, which will increase real-world fuel numbers. Compared to the currently on-sale competitors, the 2017 Pacifica is among the top, but there are two clear rivals. The 2016 Honda Odyssey has EPA ratings of 28/19/22. Those figures match the Chrysler on the highway and combined, but beat it by one mpg in the city. The other challenger is the 2016 Nissan Quest at 27/20/23. The Nissan wins by two mpg in the city and one mpg combined, but the Pacifica wins by one on the highway. According to Fueleconomy.gov, the front-wheel drive Toyota Sienna and Kia Sedona match the Pacifica's 18 mpg city rating, but they can't beat its combined or highway numbers.
