FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. Junkyard Gem: 1978 Chrysler LeBaron Coupe

From the early 1930s through the middle 1970s, Chrysler used the LeBaron name (taken from a coachbuilder eventually consumed by the car company, much as Fleetwood and Ghia were absorbed by GM and Ford, respectively) on high-end Imperial models. Then, facing decreased demand for mammoth land yachts thanks to certain geopolitical events, Chrysler created a separate LeBaron model, based on the midsize platform used for the Dodge Diplomat/Plymouth Gran Fury. Production of this LeBaron began in 1977 and continued until the debut of Lee Iacocca's famous K-Car LeBarons for the 1982 model year. While you'll find the occasional Diplomat these days, the 1977-1981 LeBaron has become all but extinct. Here's a crash-victim '78 in a Denver car graveyard. Plenty of times, I'll find discarded cars of this era that seem to have moldered outside for decade after neglected decade, but this one drove to its final crash. That means that the 318-cubic-inch (5.2-liter) V8 under the hood would be a good bet to buy for another Chrysler project… but nobody seems interested, because this Malaise Era engine made only 140 horsepower when new. The base engine in the 1978 LeBaron was a 110-horse Slant-6, so at least this car had the upgrade. Sure, the Diplomat was the not-so-plush successor to the non-plush Aspen/Volare and the even-less-plush Dart/Valiant, but Chrysler installed a reasonably nice interior in the Diplomat's Chrysler-badged sibling. This one has the standard "Cortez" cloth-and-vinyl bench seat, but not the optional power windows or door locks. This one has stickers for Run-D.M.C., Public Enemy, Slayer, and MegadethÂ… plus one for the Oakland Raiders, hated rivals of Denver's local sportsball team. I'm pretty sure the car was not being driven by the original purchaser when it crashed. Believe it or not, this car was available with a four-on-the-floor manual transmission and a V8 engine. Google Waymo's self-driving car is a modified Chrysler Pacifica Hybrid

For the time being, this is what Google's self-driving car project will look like: FCA is delivering 100 Chrysler Pacifica Hybrids to Google's Waymo self-driving offshoot. According to FCA, the Pacificas are currently being outfitted with Waymo's autonomity equipment, and testing will commence early next year. The setup includes sensors and on-board telematics, and there will be changes made to the vehicle's powertrain and electrics to help it function better as an autonomous vehicle. It's closer to a Jurassic Park style Ford Explorer than something built completely from scratch, but using a minivan platform has helped the project advance rather rapidly. John Krafcik, the CEO of Waymo says that FCA's product development and manufacturing teams have helped them greatly: "FCA's product development and manufacturing teams have been agile partners, enabling us to go from program kickoff to full vehicle assembly in just six months", says Krafcik. In addition to Waymo's test facilities in California, the initial Pacificas have been tried and tested at FCA's proving grounds in Michigan and Arizona. The modifications have been tailored at a joint effort powerhouse in southeastern Michigan. The production Pacifica Hybrid is rated at 84 MPG3 by the EPA. The plug-in hybrid powertrain consists of a 3.6-liter Pentastar unit converted to an Atkinson cycle and a 16kWh Lithium-ion battery.
