Fiat shareholders green-light Chrysler merger, end of an Italian era

Fiat has just taken a major step away from its Italian heritage, as shareholders officially approved the company's merger with Chrysler. That move will lead to the formation of Fiat Chrysler Automobiles NV, a Dutch company based in Great Britain and listed on the New York Stock Exchange, according to Automotive News Europe.
The company captured the two-thirds majority at a special shareholders meeting, although there are still a few situations that could defeat the movement. According to ANE, roughly eight percent of shareholders opposed the merger, which is a group large enough to defeat the plan, should they all exercise their exit rights outlined in the merger conditions.
Meanwhile, Fiat Chairman John Elkann (pictured above, right, with CEO Sergio Marchionne and Ferrari Chairman Luca Cordero di Montezemolo), the great-great-grandson of Fiat founder Giovanni Agnelli, reaffirmed his family's commitment to the company beyond the merger. Exor, the Agnelli family's holding company, still maintains a 30-percent stake in Fiat.

Poor Chrysler 200 sales blamed for 1,420 layoffs in Sterling Heights

FCA will indefinitely lay off a total of 1,420 workers from its Sterling Heights Assembly and Stamping plants on July 5, according to The Detroit News. This decision will cut a 1,300-person shift that builds the Chrysler 200, and it will also affect 120 people who stamp the sedan's components. The company's statement said the decision would "better align production with demand." FCA plans to give these folks open full-time positions as they become available. Chrysler 200 sales are down 63 percent to just under 18,000 units so far in 2016. After the cuts, there will still be one shift to build the 200, but even then the model won't have much of a future. In January, CEO Sergio Marchionne announced that FCA would discontinue production of the 200 and Dodge Dart because customers were no longer interested in small sedans. All of the roughly 3,000 hourly workers at Sterling Heights have been on a temporary layoff since February 1, according to The Detroit News. They don't go back to work until next week. United Auto Workers Vice President Norwood Jewell released a statement saying that while the "shift reduction at Sterling Heights Assembly is unfortunate, it is not unexpected." However, he was fairly upbeat about the cuts because FCA plans to increase production capacity for trucks and SUVs. "I believe that in the long term this move will be a positive one for our members and the company," he said. During last year's labor negotiations, the UAW's deal reportedly included an agreement for FCA to move 200 and Dodge Dart production to Toluca, Mexico, but the company promised to build the Ram 1500 at Sterling Heights Assembly. FCA spokesperson Jodi Tinson gave no comment about future vehicles at the factory when asked by Autoblog. The Company will place indefinitely laid off employees in open full-time positions as they become available within the Detroit labor market based on seniority. 2.1 million vehicles recalled again over faulty airbags

Fiat Chrysler Automobiles, Honda and Toyota will recall 2.1 million vehicles to fix faulty airbag modules "after the manufacturers' original attempts to fix the defects proved ineffective in some vehicles." These vehicles had all previously been recalled, but the National Highway Traffic Safety Administration found that the airbags could still potentially malfunction. This recall will cover Acura MDX, Dodge Viper, Jeep Grand Cherokee, Honda Odyssey, Pontiac Vibe, Toyota Corolla, Toyota Matrix and Toyota Avalon models made in the early 2000s. NHTSA has reportedly received about 40 reports of airbag deployment in such vehicles, even though the vehicle had not been involved in a crash. Roughly one million of these same vehicles, all from Honda and Toyota, are also subject to recalls due to faulty Takata airbag modules, though this particular recall is for "an electronic component manufactured by TRW" that is separate from the actual airbags from Takata. According to NHTSA Administrator Mark Rosekind: "This is unfortunately a complicated issue for consumers, who may have to return to their dealer more than once. But this is an urgent safety issue, and all consumers with vehicles covered by the previous recalls should have that remedy installed. Even though it's a temporary solution until the new remedy is available, they and their families will be safer if they take the time to learn if their vehicle is covered and follow their manufacturers' instructions.
