Fiat board makes Chrysler merger official, approves $5.4B bond sale

Fiat's board of directors has officially approved the merger plan that will see the conglomerate's automotive operations merged with Chrysler into the new Fiat Chrysler Automobiles.
The plan essentially provides a road map for the structure of the new company. It includes provisions for Fiat shareholders - one Fiat share will translate to one share of FCA common stock. The new company will also include a loyalty voting structure, which will provide for shareholders of Fiat stock or those that have held FCA stock for at least three years. According to the plan, these shareholders would see their voting power double, with two votes for every share of FCA's common stock. The overall merger plan still needs to be approved by the company's shareholders.
In other Fiat-related news, the company's board has announced a bond issuance of four billion euro ($5.4 billion). The new bonds should provide the company with a degree of flexibility in refinancing debts associated with the merger plan.

Chrysler withdraws from UK market

Ford factors big in the British market, as does GM's Vauxhall brand. But one automaker that will be missing from the UK from here on out will be Chrysler, as the latest reports coming in from the British Isles indicate that the American brand is closing up shop. For the past few years, Chrysler has been selling a combination of its own models as well as rebadged Lancias to British customers, but has been having a tough time making a go of it. After just a few short years of lackluster sales, Chrysler UK ceased selling the Delta, and according to Auto Express, is now withdrawing the 300C and Grand Voyager as well. That leaves just the Ypsilon, which will reportedly continue on an on-demand basis if customers ask for it, but even that will end by 2017. The withdrawal of the Chrysler brand from the British market mirrors that of Lancia, under whose name the same models are sold in continental Europe but which is now being confined strictly to Italy, where it will similarly continue to sell the Ypsilon. Of course that doesn't mean that FCA is withdrawing from the British market altogether. The Fiat, Abarth, Alfa Romeo and Jeep brands will continue being offered in the UK, as will Maserati and Ferrari. Just don't expect to see many wing-badged Chryslers on the high street anymore – not that you would have until now. Last year the Chrysler brand reportedly sold fewer than 2,000 units in the UK, compared to the 10,000+ examples of just the Fiat 500 it moves there every month. Ford and Chrysler reducing summer plant shutdowns

Most domestic automaker assembly plants traditionally take a couple of weeks off during the summer. The shutdowns give each plant time for much needed repairs and maintenance, and in some cases, help better align production with demand. Not this year, though, as demand for many models is outstripping what Ford, Chrysler and General Motors plants can produce.
Ford has announced that it will shorten its annual summer shutdown for most North American plants from two weeks to one. The shorter shutdown will increase the carmaker's annual North American production by 40,000 units on top of the 200,000 extra units that it was already planning to produce this year versus last. Automotive News reports that Ford produced 2.8 million vehicles on this continent in 2012, and that output this year has already increased 13 percent through April.
Chrysler, meanwhile, is also operating at full tilt and plans to run some plants through the summer with no shutdown at all. Those not getting a break include Jefferson North where the Jeep Grand Cherokee and Dodge Durango are assembled, Toledo North that will assemble the new Cherokee, and Conner Avenue, home of SRT Viper production. Other assembly plants will be down for a single week, while all of Chrysler's engine and transmission plants except one in Indiana will continue operating with no shutdown this summer.
