Fiat seeking $10B in financing to buy Chrysler

As Fiat looks to become the full owner of Chrysler, all it has standing in its way is the retiree trust of the United Auto Workers, which currently holds the remaining 41.5 percent of the company as the result of the Pentastar's bankruptcy deal. The Detroit News is reporting that that Fiat is currently talking to numerous banks in an attempt to raise around $10 billion to fund the purchase of Chrysler's remaining stake with enough left over to refinance the debt of both companies. We've known that Fiat has been working to obtain the capital to buy out Chrysler for some time now, but this is the first time we've seen Fiat tip its hand about how much cash it thinks it will need to close the deal.
The first order of business is a legal dispute over the value of the UAW's stake in Chrysler, which the report indicates could cost Fiat around $3.5 billion. The acquisition of remaining shares could happen by this summer, but it sounds like CEO Sergio Marchionne (above) might not be ready for a full merger until next year.

Proposed deal averts strike between FCA and UAW

With the deadline rapidly approaching for a strike, FCA US and the United Auto Workers were able to hammer out a potential agreement late last night to avoid picket lines, at least for now. While the UAW said in a statement that it "secured significant gains," the actual contents of the deal haven't been published yet. Before going public, the offer still needs the consent of the UAW National Chrysler Committee, and that body has a meeting on 11:00 AM Eastern on Friday, October 9, to make a decision. If the Chrysler committee signs off on the deal, it would then go to the union's 40,000 FCA US workers for a vote, according to The Detroit News. "We have made real gains and I look forward to a full discussion of the terms with our membership," President Dennis Williams said in the UAW's statement. FCA US isn't providing any answers about the proposed contract either. In a release about the negotiations, the automaker said: "FCA US confirms that it has reached a new tentative agreement with the UAW. Because the agreement is subject to UAW member ratification, the Company cannot discuss the specifics of the agreement pending a vote by UAW members." The original tentative contract with FCA US promised raises and the creation of a healthcare co-op. However, 65 percent of union members rejected the deal, The Detroit News reports. Workers didn't like that the offer kept a two-tier wage system between veterans and more recent employees. The details of the health plan also weren't explained well, and there wasn't much info on possible production changes. Chrysler honors Arsenal of Democracy's 75th anniversary

The Allied victory in World War II wouldn't have been possible without the Arsenal of Democracy. This phrase, originally coined by President Franklin D. Roosevelt 75 years ago today, described the war-time transformation of US manufacturing, especially the auto industry, to produce tanks and planes instead of cars and trucks. One of the earliest purpose-built facilities was the Albert Kahn-designed Detroit Arsenal, located in suburban Warren, MI, literally across the street from the future site of the General Motors Technical Center. Built by Uncle Sam, the plant churned out M3 Grant and M4 Sherman tanks with frightening speed, but it wouldn't have been possible without Chrysler. The company (which is ironically now allied to a former supplier of Nazi Germany and fascist Italy) operated the plant and applied automotive mass-production techniques to producing the government-designed tanks. The plant was so successful, according to Fiat Chrysler historian Brandt Rosenbusch, that it singlehandedly outpaced the entire Third Reich's tank production by 5,000 units over the course of the war. The Detroit Arsenal was also responsible for a quarter of all American tank production during the war. And like so many wartime factories, women formed a large percentage of the workforce, as men were drafted out of assembly work and into the armed forces. Chrysler has commemorated the 75th anniversary of the Arsenal of Democracy speech with a video on the Detroit Arsenal and its role there. And as for the site today? It built tanks up until 1997, and still serves as the home of the US Army's TACOM (Tank-automotive and Armaments Command) Life Cycle Management Command, a major site for tank research and development.
