Fiat To Pay $3.65 Billion For Remaining Chrysler Shares

Italian automaker Fiat SpA announced Wednesday that it reached an agreement to acquire the remaining shares of Chrysler for $3.65 billion in payments to a union-controlled trust fund. Fiat already owns 58.5 percent of Chrysler's shares, with the remaining 41.5 percent held by a United Auto Workers union trust fund that pays health care bills for retirees. Under the deal, Fiat will make an initial payment of $1.9 billion to the fund, plus an additional $1.75 billion upon closing the deal. Chrysler will also make additional payments totaling $700 million to the fund as part of an agreement with the UAW. The deal is expected to close on or before Jan. 20, according to a statement from Chrysler. Sergio Marchionne, CEO of both Fiat and Chrysler, has long sought to acquire the union's shares in order to combine the two companies. "The unified ownership structure will now allow us to fully execute our vision of creating a global automaker that is truly unique in terms of mix of experience, perspective and know-how, a solid and open organization," Marchionne said in a statement issued by Turin, Italy-based Fiat. The deal eliminates the need for an initial public offering of the union fund's stake, which analysts had previously valued at $5.6 billion. Fiat went to court last year seeking a judgment on the price, but the trial date was set for next September. Marchionne can't spend Chrysler's cash on Fiat's operations unless the companies merge. In recent months he made it clear that he preferred to settle the dispute without an IPO, but filed the paperwork for the offering in September at the trust's request. Chrysler's profits have helped prop up Fiat on the balance sheet as the Italian automaker struggles in a down European market. The Auburn Hills, Mich., automaker earned $464 million in the third quarter on U.S. sales of the Ram pickup and Jeep Grand Cherokee, its ninth-straight profitable quarter. Chrysler's next-gen minivans will get more expensive

Chrysler introduced the value-oriented Great American Package on the base model Chrysler 300 in 2005. That morphed into the American Value Package available as an option on the Dodge Grand Caravan in 2012, which made it the lowest-priced minivan in the country, now with an MSRP of $21,395. Automotive News reports that Chrysler is going to kill the value package when the new Town & Country arrives for 2017, because the new platform and technology of the coming minivan make it "a difficult price point to get to." AN says the next-generation haulers will come in around $26,000 and can go beyond $45,000 with options; clicking every "Add" button we could find on the Town & Country build page, we couldn't get past $43,000 for today's model. That entry pricing in 2017 would eliminate the first three trims on the Dodge option, the American Value Package, the SE that starts at $24,195, and the SE Plus that starts at $24,995. This makes us think the next-generation haulers will take a sizable step upscale in terms of feel, content, and trim, a la the Chrysler 200. In this writer's opinion, if they do as good a job as they've been doing recently, the extra money will be worth it. There have been spy shots and a lot of rumors about it, like the Caravan minivan going away and becoming a crossover, but we'll see it revealed at the 2016 Detroit Auto Show. Dodge Challenger spied exercising supercharged Hellcat Hemi V8

One of the prime complaints against the Dodge Challenger is that, even in SRT8 guise, its 470 horsepower is responsible for hauling over 4,200 pounds of vehicle. For comparison, the 420 hp in the Ford Mustang GT only has to deal with 3,618 lbs. Things only get worse from there, as the higher-performance variants of both the Mustang and the Chevrolet Camaro are far more powerful than an SRT8 without adding on much heft.
So what is Chrysler to do? The correct answer is add a whole lot more grunt to its hefty two-door and even the odds. That's where the all-new Hellcat engine comes into play. We reported on this engine in May, and suggested that the Hellcat, a supercharged powerplant based on a 6.4-liter V8, would easily generate 500 to 570 hp and could likely arrive boasting more than 600 ponies.
Chrysler's ace in its sleeve has now been spied testing, with a number of Hellcat-equipped Challengers running the potent new engine both in more urbanized areas and under the sun of Death Valley. The hoods on these testers have been raised to accommodate the engine, and that camouflage over the fascias of these prototypes is there to hide a larger air intake. We also note what appears to be a new split grille under wraps. As for power output, our spies are now suggesting a Viper-equalling 640 hp from the Hellcat-equipped cars.
