Fiat To Pay $3.65 Billion For Remaining Chrysler Shares

Italian automaker Fiat SpA announced Wednesday that it reached an agreement to acquire the remaining shares of Chrysler for $3.65 billion in payments to a union-controlled trust fund. Fiat already owns 58.5 percent of Chrysler's shares, with the remaining 41.5 percent held by a United Auto Workers union trust fund that pays health care bills for retirees. Under the deal, Fiat will make an initial payment of $1.9 billion to the fund, plus an additional $1.75 billion upon closing the deal. Chrysler will also make additional payments totaling $700 million to the fund as part of an agreement with the UAW. The deal is expected to close on or before Jan. 20, according to a statement from Chrysler. Sergio Marchionne, CEO of both Fiat and Chrysler, has long sought to acquire the union's shares in order to combine the two companies. "The unified ownership structure will now allow us to fully execute our vision of creating a global automaker that is truly unique in terms of mix of experience, perspective and know-how, a solid and open organization," Marchionne said in a statement issued by Turin, Italy-based Fiat. The deal eliminates the need for an initial public offering of the union fund's stake, which analysts had previously valued at $5.6 billion. Fiat went to court last year seeking a judgment on the price, but the trial date was set for next September. Marchionne can't spend Chrysler's cash on Fiat's operations unless the companies merge. In recent months he made it clear that he preferred to settle the dispute without an IPO, but filed the paperwork for the offering in September at the trust's request. Chrysler's profits have helped prop up Fiat on the balance sheet as the Italian automaker struggles in a down European market. The Auburn Hills, Mich., automaker earned $464 million in the third quarter on U.S. sales of the Ram pickup and Jeep Grand Cherokee, its ninth-straight profitable quarter. Chrysler recalls 2013 Ram pickups, 2014 Jeep Grand Cherokee

Chrysler's spate of successful products is about to be marred by a trio of recalls. The Pentastar is recalling 51,477 Ram trucks and Jeep SUVs. According to the National Highway Traffic Safety Administration, there have been no reported accidents, injuries or deaths related to the affected vehicles.
The largest action covers the Ram 1500, which is seeing 45,961 trucks being recalled. Models built between June 26, 2012 and February 5, 2013 are being recalled due to a potential software issue in the electronic stability control. Apparently, the system can be randomly deactivated upon vehicle startup.
Chrysler is also recalling 4,458 2014 Jeep Grand Cherokee models. Covering everything but the SRT models, the potentially defective SUVs were built between January 14 and March 20, 2013. This recall focuses on "premium headlights," which means cars equipped with LED running lights. During the switch from the bright daytime running lamp setting to the low-intensity parking light setting, an electrical spike can cause one of the Jeep's computers to go into a safe mode, turning off the LEDs. This violates Federal Motor Vehicle Safety Standards.

FCA recalls Fiat 500e to fix cruise control

Fiat is recalling almost 4,000 of its 500e electric vehicles because of a malfunction related to the model's cruise-control feature. The glitch causes the car's powertrain to be put into neutral under certain situations. It's the second recall on the 500e this year. Specifically, Chrysler-Fiat is recalling 3,975 cars. The issue is that the car's system can misread the motor's torque figures in cruise control, causing the sprightly EV to mistakenly shift into neutral in what was designed as a safety-precaution measure. The good news is that restarting the vehicle gets the car back to normal, but being dropped into neutral in highway mode is certainly no fun. Chrysler-Fiat said in a statement this week that it was "unaware" of injuries, accidents, or customer complaints caused by the issue. In April, the 500e was subject to a recall that impacted about 5,600 vehicles and stemmed from a March 2015 update. The update allowed the car to go into so-called "Limp Home Mode" to better extend range. The problem is that it inadvertently caused the car to stall. Range anxiety, indeed. A review of warranty data led to an investigation by FCA US LLC engineers. The investigation discovered certain Fiat 500e hatchbacks were inadvertently equipped with software that may misread torque levels generated by their motors, causing them to shift into neutral – a prescribed failsafe mode. This condition may occur only while cruise-control is engaged and the driver attempts to override the feature with accelerator-pedal applications or rapid tapping of the accelerate/decelerate buttons. Restarting the vehicle restores normal function. The campaign is limited to certain model-year 2013-2015 vehicles. The Company is unaware of any related injuries, accidents or customer complaints.
