Fiat To Pay $3.65 Billion For Remaining Chrysler Shares

Italian automaker Fiat SpA announced Wednesday that it reached an agreement to acquire the remaining shares of Chrysler for $3.65 billion in payments to a union-controlled trust fund. Fiat already owns 58.5 percent of Chrysler's shares, with the remaining 41.5 percent held by a United Auto Workers union trust fund that pays health care bills for retirees. Under the deal, Fiat will make an initial payment of $1.9 billion to the fund, plus an additional $1.75 billion upon closing the deal. Chrysler will also make additional payments totaling $700 million to the fund as part of an agreement with the UAW. The deal is expected to close on or before Jan. 20, according to a statement from Chrysler. Sergio Marchionne, CEO of both Fiat and Chrysler, has long sought to acquire the union's shares in order to combine the two companies. "The unified ownership structure will now allow us to fully execute our vision of creating a global automaker that is truly unique in terms of mix of experience, perspective and know-how, a solid and open organization," Marchionne said in a statement issued by Turin, Italy-based Fiat. The deal eliminates the need for an initial public offering of the union fund's stake, which analysts had previously valued at $5.6 billion. Fiat went to court last year seeking a judgment on the price, but the trial date was set for next September. Marchionne can't spend Chrysler's cash on Fiat's operations unless the companies merge. In recent months he made it clear that he preferred to settle the dispute without an IPO, but filed the paperwork for the offering in September at the trust's request. Chrysler's profits have helped prop up Fiat on the balance sheet as the Italian automaker struggles in a down European market. The Auburn Hills, Mich., automaker earned $464 million in the third quarter on U.S. sales of the Ram pickup and Jeep Grand Cherokee, its ninth-straight profitable quarter. It's going to be a competitive race for the 2017 Green Car Of The Year. With a minivan in the running for the first time in ages, the five finalists announced by Green Car Journal today include five very different plug-in vehicles. As Ron Cogan, the editor and publisher of Green Car Journal, said in a statement, "electrification is now considered by most automakers an essential technology for current and future high-efficiency models." Let's check out the list: Toyota Prius Prime, the updated plug-in version of the world's best-selling hybrid. Chevy Bolt, GM's all-new entry into the long-range EV game. Chrysler Pacifica, a family hauler with the ability to go 30 miles on electric power. Kia Optima. The nomination is for the full line-up, but really the hybrid and plug-in hybrid models are the green stars here. BMW 330e iPerformance, one of the automaker's many new plug-in hybrids that bring battery power to models outside the i sub-brand. Green Car Journal will announce the winners at the Los Angeles Auto Show on November 17th, along with some, "other green transportation announcements," whatever that means. FCA joining virtual CES with in-depth tours and Jeep Wrangler 4xe in AR

CES is sort of, technically happening, but it won’t be the CES weÂ’ve all become accustomed to over the years. Automakers will be doing their best to participate virtually, assuming they decide to join in the festivities at all. FCA is one that will have a little nugget of tech to share with us. A few main experiences will be made available to anybody with a computer. FCAÂ’s main draw is meant to be “highly detailed interactive product tours” where you can get to know a number of vehicles in a virtual world and hear from a “virtual brand ambassador” throughout the tour. You wonÂ’t be able to sit in and crawl through the cars like a normal auto show for the public, but FCA is promising a rather immersive experience online. The guided tour through the cars and technologies will be available in 12 FCA vehicles, two of those being the new Jeep Grand Wagoneer Concept and Alfa Romeo Stelvio Quadrifoglio. FCA plans to offer in-depth talks about how it tests vehicles, too. There are demonstrations planned for wind tunnels, the four-post shaker, an advanced drive simulator and general performance testing. Additionally, FCA plans on providing more insight into Uconnect 5 and vehicle electrification systems. WeÂ’re guessing the latter will offer up details on the Wrangler 4xe. The plug-in hybrid Wrangler will also be the star of FCAÂ’s AR play at CES. Everybody will be able to scan a QR code on FCAÂ’s site, then have access to a Wrangler 4xe on their phone. YouÂ’ll be able to “put it” in your driveway virtually, change the colors and get up close and personal with the interior.  All of this will launch on fcaces2021.com at 9 a.m. ET on January 11 (official first day of the virtual CES show), so surf on over there next week if you want to check it out.
