FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. Chrysler officially rebrands as FCA US LLC

Detroit's third-largest automaker has had a lot of names over the years. It was founded as the Chrysler Corporation in 1925, a name it held until 1998 when it was bought by ze Germans in 1998 to form DaimlerChrysler AG, then it went independent in 2007 under the name Chrysler LLC before being retitled once again as Chrysler Group LLC in 2009. And now the automaker headquartered in Auburn Hills, MI, is getting yet another new name. Announced today and effective immediately, the company formerly known as Chrysler will now be called FCA US LLC. That's a lot of letters, but they make a lot of sense, too: FCA stands for Fiat Chrysler Automobiles, the US telling us this is the company's American division and the LLC tells us it's a limited liability company – a legal classification similar to (but not quite the same as) a corporation. The announcement comes shortly after the company decided to phase out its long-serving Pentastar logo. The sum total is that the once-independent industrial giant is now formally part of a larger European parent company, owned by Fiat and (for taxation purposes, anyway) based in the Netherlands. What the company formerly known as Chrysler wants to emphasize, however, is that FCA US LLC will remain based in Auburn Hills and retain its "holdings, management team, board [and] brands." Jeep Cherokee faces on-sale delay

A report in The Wall Street Journal looks at some of the obstacles to the 2014 Jeep Cherokee that go beyond its mootable yet "very contemporary" looks, almost all of them based on Fiat's financial position. Starting with that sheetmetal, in defense of it SRT president Ralph Gilles and Jeep design head Mark Allen said they wanted to "make sure the design still looks modern five years from now."
The WSJ piece doesn't cite longevity as a factor, instead saying that its features originated in a design for an Alfa Romeo, the transformation into a Jeep design meant allowing Chrysler get it to market more quickly and save "hundreds of millions of dollars" in engineering.
The need for Fiat to save money while it weathers the European situation has cut budgets for development, engineering and the pace of retooling the Toledo, Ohio plant to build the Cherokee. In a familiar case of snowballing at work, among the effects will be pushing back the Cherokee's volume sales date and delaying updates to some of Chrysler's other products.
