Fiat board makes Chrysler merger official, approves $5.4B bond sale

Fiat's board of directors has officially approved the merger plan that will see the conglomerate's automotive operations merged with Chrysler into the new Fiat Chrysler Automobiles.
The plan essentially provides a road map for the structure of the new company. It includes provisions for Fiat shareholders - one Fiat share will translate to one share of FCA common stock. The new company will also include a loyalty voting structure, which will provide for shareholders of Fiat stock or those that have held FCA stock for at least three years. According to the plan, these shareholders would see their voting power double, with two votes for every share of FCA's common stock. The overall merger plan still needs to be approved by the company's shareholders.
In other Fiat-related news, the company's board has announced a bond issuance of four billion euro ($5.4 billion). The new bonds should provide the company with a degree of flexibility in refinancing debts associated with the merger plan.

AMC is long dead, but for its latest peek in the archives, MotorWeek winds back the clock to somewhat happier times. Take a look at the entire AMC lineup from 1983, including its models from Jeep and Renault. The Jeeps, and to a lesser extent, the AMC Eagle, enjoy a cult following today, but it's amazing how many of these other vehicles are now practically forgotten. Even the big debut in '83 of the Renault Alliance is largely ignored. Although with a ludicrous amount of body roll and a 55-horsepower 1.4-liter engine, it's probably rightly buried. 2015 Chrysler 200 looks to put Pentastar's cars back on track [w/videos]

It's fair to say that Chrysler Corporation has been on a major perception upswing with its new products, but that rise has largely been centered around its trucks and utility vehicles - the car side has been somewhat left out. The outgoing 200 (previously skinned as the Sebring) never garnered any laurels, the Dart has suffered a rather cool reception both critically and in terms of sales, the second-gen 300 is a nice car yet it hasn't sold as well as its predecessor, and even the mighty SRT Viper has had its V10 bark muted by the less costly and multi-talented Chevrolet Corvette Stingray. Resurgent Chrysler could use a hit car, and the 2015 200 may just be it.

Eschewing today's oversized headlamp and grille trend, the sleek 200 (with a coefficient of drag of just .27) displays a 'four-door coupe' sensibility with a sense of style that the old 200 with its gawky greenhouse and forced details never did. The new 200's exterior may look a bit like a greatest hits compendium of other high-style cars (see also: Audi A7, Tesla Model S, etc.), but it doesn't come off as a pastiche, it's all well-integrated and organic all the same.
