FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. Murdered-out minivan: 2018 Chrysler Pacifica gets new S package

Minivans are generally considered cool in an ironic sort of way. No one drives a Honda Odyssey or Chrysler Pacifica because it's hip. People drive minivans because no other type of vehicle offers such a good mix of fuel economy, practicality and space efficiency. Still, automakers are doing their damndest to make sure kids set sail from school in the best-looking breadbox around. In order to spice things up, Chrysler is now offering the S appearance package on the Pacifica. Chrysler offers a similar package on the 300. On the Pacifica, the $595 S package can be added to any Touring Plus, Touring L, Touring L Plus or Limited models. The Pacifica S gets gloss black accents on the front and rear fascias including the grille, headlights and rear valance. The Chrysler wing badges on the front and rear are both done up in gloss black. A black roof rack is optional on the Touring Plus and standard on all other trims. 18-inch wheels are standard while 20-inch wheels can be added to any S-equipped car for an additional $995. The interior gets blacks seats with grey accents and the S logo. The steering wheel gets grey stitching and piano black accents, while the instrument cluster and door panels get trim in what Chrysler is calling Anodized Ice Cave. Really, it just looks like a different shade of grey. The front overhead console, headliner, visors, second- and third-row cargo lighting bezel, A-pillar trim and center console are all done up in black. Other changes for 2018 include standard SafetyTec, Apple CarPlay and Android Auto on all models. 4G LTE WiFi will be optional. 2018 Chrysler Pacificas will hit dealer showrooms in the next few months. Fiat's Marchionne ponders Chrysler going public again

Fiat boss Sergio Marchionne says there's a real possibility that its majority-owned Chrysler Group may eventually return to the ranks of publicly traded companies. According to Bloomberg, the Fiat and Chrysler CEO gives that a "50 percent chance" of happening, but he doesn't appear to favor that scenario: "My preference is to be one single company... we belong together."
Marchionne has seemingly been operating under the assumption that Fiat will eventually own all of Chrysler, working to buy up the shares it doesn't own and looking to buy out the retiree trust fund that it shares Chrysler ownership with. Certainly, Chrysler going independent again would be increasingly difficult, as the companies continue to blend products, technologies, facilities and staffing, a trend started immediately after the Italian automaker became custodian of the brand following Chrysler's bankruptcy in 2009.
Marchionne's remarks to the media came at Chrysler's Kokomo, Indiana plant, where he was on hand to announce a major investment at four facilities in the state to build eight- and nine-speed automatic transmissions.
