FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. Germany says Fiat Chrysler also cheats on diesel emissions

In May, Germany threatened to ban Fiat Chrysler vehicles because they supposedly had diesel emissions cheat devices. The guilty vehicle at the time was a Fiat 500X. Since then, Italian regulators looked into the issue and said they found no such device. But Germany didn't back down, and filed papers today with the European Commission (EC) and the Italian Transport Ministry saying, again, that there were questionable emissions results in four FCA vehicles. According to Reuters, the Germany's new tests proved there was an, "illegal use of a device to switch off exhaust treatment systems" in the four FCA vehicles. According to Der Spiegel, the four vehicles in the latest batch of offenders are the two new 500Xs, a Fiat Doblo, and a Jeep Renegade. Alexander Dobrindt, Germany's Federal Minister of Transport, noted the vehicles in the letter to the EC, which also said that the EC should communicate with Italian regulators as the next step. Detroit 3 small cars lay an egg in latest Consumer Reports reliability study

Consumer Reports has released its Annual Auto Reliability Survey and the results are, in a word, interesting. While we already covered the score-damaging effects of infotainment systems, there's another big angle to the data that's getting some attention - the utterly dismal scores of the Detroit Three's small car offerings.
The turbocharged Dodge Dart and Chevrolet Cruze, as well as the Ford Fiesta were their respective brands' lowest-scoring models, a stat that's made worse by the fact that the American automakers finished 25th, 21st and 23rd, respectively.
That's not acceptable for The Detroit Free Press' auto critic, Mark Phelan, who has penned a scathing critique of the D3's small car reliability scores, arguing that GM, Ford and Chrysler are "out of excuses."
