FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. Fiat seeking autonomous partnerships with Uber and Amazon

If Fiat Chrysler Automobiles CEO Sergio Marchionne can't find another automaker to partner with, he'll have to look elsewhere. Like, outside the traditional automotive industry entirely, if recent reports are to be believed. According to Bloomberg and Business Insider, Fiat is pursuing relationships with Uber and Amazon for self-driving vehicles. This news comes shortly after FCA announced an official tie-up with Google to turn 100 Chrysler Pacifica minivans into autonomobiles. Uber might want to venture into self-driven vehicles for its ride-hailing service, cutting out the expense of human drivers. For its part, Amazon could use autonomous vehicles for deliveries from its online shopping destinations. FCA's interest in these endeavors seems to revolve around their vehicles being used as platforms for software and bespoke hardware setups created by the tech companies. There's no indication of what vehicles FCA would provide to either Uber or Amazon, but something minivan shaped could capably serve both the ride-sharing and package delivery service industries. Car Club USA heads to the Buckeye State for some high-octane drag racing at the Chrysler Power Classic. And for these amateur drag racers, nothing but Mopar muscle will do. "I would say Mopar is kind of a way of life," says Larry Augenstine. "Some people get addicted to lemonade, or beer, [or] drugs. Well, I'm Mopars." Larry drives a 1968 Plymouth Barracuda with a 426 Hemi motor that once belonged to local racing legend Ray Christian. He's joined at the track by Mark Ipsen of the Midwest Nostalgia Pro Stock Association. Mark runs a 1979 AMC Concord with a modified 401 block V8 that he claims has dynoed at just under 1,000 horsepower. The biggest threat to any day on track is Mother Nature, who cast a threatening shadow over National Trail Raceway for much of the event. When the clouds and rain subsided, our cameras captured the grounds crew in action with blowers, torches, and a sticky compound that's sprayed the entire length of the track.
