Stellantis mega-merger gets approval from FCA, PSA shareholders

MILAN — Shareholders of Fiat Chrysler and PSA Peugeot decisively voted Monday to merge the U.S.-Italian and French carmakers to create worldÂ’s 4th-largest auto company. Addressing separate meetings, both PSA Peugeot CEO Carlos Tavares and Fiat Chrysler Chairman John Elkann spoke of the “historic” importance of the vote, which combines legacy car companies that helped write the industrial histories of the United States, France and Italy. Before the merger is finalized, shares in the new company, to be called Stellantis, must the launched. It will be traded in Milan, New York and Paris. The marriage of PSA Peugeot and Fiat Chrysler Automobiles is built on the promise of cost-savings in the capital-hungry industry, but what remains to be seen is if it will be able to preserve jobs and heritage brands in a global market still suffering from the pandemic. The deal will create the worldÂ’s fourth-largest carmaker, with the capacity to produce 8.7 million cars a year, behind Volkswagen, Toyota and Renault-Nissan, and create 5 billion euros in annual synergies.  “We are fully aware of the fact that together we will be stronger than individually,'' PSA CEO Carlos Tavares told a virtual gathering of eligible shareholders. “The two companies are in good health. These two companies have strong positions in their markets.” The new company will put together under one roof French mass-market carmakers Peugeot and Citroen, top-selling Jeep and Italian luxury and sports brands Maserati and Alfa Romeo - pooling companies that have helped define the industry in the United States, France and Italy. While the tie-up is billed as a merger of equals, the power advantage goes to PSA, with Tavares running Stellantis and holding the tie-breaking vote on the 11-seat board. Tavares is set to take full control of the company early this year, possibly by the end of January. Fiat Chrysler chairman John Elkann, heir to the Fiat-founding Agnelli family and Fiat ChryslerÂ’s biggest shareholder, will be the Stellantis chairman. Fiat Chrysler CEO Mike Manley will head North American operations, which is key to Tavares' long-time goal of getting a U.S. foothold for the French carmaker he has run since 2014, and the clear money-maker for Fiat Chrysler. Such a deal was long wanted by Fiat ChryslerÂ’s long-time CEO Sergio Marchionne, who had predicted the necessity of consolidation in the industry. He was unable to find a deal before his sudden death in July 2018.

Marchionne hopes Apple will partner with Fiat

Apple wants to make a car. Fiat already makes cars. Therefore, Apple and Fiat should partner to make an Apple Car. Makes sense, right? Clearly, it's not quite that easy, but FCA chief Sergio Marchionne hopes that Cupertino will consider Fiat a worthy candidate for partnership, assuming, of course, that Apple follows through with its overtures into the automobile industry. Marchionne is, according to Bloomberg, a self-proclaimed "Apple freak" who owns every kind of product Apple makes. He suggests that he understands the tech company's needs and wants. "Apple has a language, and you have to be able to speak that language," said Marchionne. "Usually the industry comes into that dialogue with a high degree of arrogance as we know how to make cars. That's not very helpful as their syntax is worth more than our ability to build cars." By "syntax," we assume Marchionne means Apple's sleek and modern design language more than the code behind its software. It's interesting to note that the FCA CEO seems to indicate that Apple would bring more to any partnership than the automaker would. Fair or not, we'd wager that more buyers would care about a potential Apple Car's design and branding than would be concerned with which automaker helped assembled it. A partnership with Apple may be exactly the kind of cure that the FCA CEO believes ails the auto industry. After finding it impossible to further pursue industry consolidation, a tie-up with the massive tech industry, particularly Apple, could generate some much-needed positive cash flow. At present, though, it's all just conjecture – Apple hasn't offered any hints as to the true nature of its so-called Project Titan automotive project, and doesn't seem likely to anytime soon. Junkyard Gem: 1992 Chrysler Imperial Landau

The Chrysler Imperial (sold as a separate marque and called, simply, the Imperial for the 1955-83 model years) was at the top of the Chrysler pyramid for many decades. For most of that time, it was a great big opulent statuswagon, slathered with chrome and powered by some of the most potent engines in the Chrysler inventory. For the early 1990s, however, the Imperial became a member of the many-branched K-Car family tree. Here's a solid-looking '92, now in its final parking spot in a Denver self-service wrecking yard. The 1990-92 Imperial wasn't a bad car, but it also wasn't much like the Imperials of past decades. Under the hood, the Chrysler 3.8-liter pushrod V6, which went on to a distinguished three-decades-long career in Chrysler minivans and Jeep Wranglers. It made a not-too-shabby-for-the-time 150 horsepower in 1992. The padded vinyl landau roof was looking extremely dated by the 1990s, but some Imperial buyers still went for this option.
