1. The offer made by Hennessy to sell this car is not a firm offer.  Additionally, in accordance with EbayMotors non-binding bid policy, bids on automobiles merely indicate your interest in purchasing the relevant vehicle and are not binding on you.  No contract exists between you and Hennessy to purchase the car until you pay the deposit called for in Section 2 below.

2. Within twenty-four (24) hours of the end of the auction or making a "Buy It Now" bid, you must deliver to Hennessy a deposit (the "Deposit") equal to ten percent (10%) of the auction price.  In the event that you fail to close on your purchase of the car after paying that Deposit, Hennessy shall be entitled to retain the Deposit as liquidated damages for your breach and not as a penalty.  You agree that Hennessy will suffer damages as a result of any such breach, that the damages that Hennessy would suffer are difficult to establish with precision, and that the Deposit constitutes a reasonable pre-estimate of those damages.

3. The balance of the purchase price, plus all applicable taxes and fees, shall be due and payable within seventy-two (72) hours from the bid closing.  Payment shall be made by bank to bank wire transfer, cash in person, or bank certified check.  If you are not present to accept delivery of the vehicle, you must send a copy of your state issued driver's license, proof of insurance, and signed transaction documents to Hennessy via facsimile transmission or email.

4. There is a $489.00 dealer services fee which covers the cost of all paperwork.  That amount shall be due from you in addition to the purchase price and all applicable taxes and fees.

5. Georgia residents pay sales tax based on the county of their residence as well as title and registration fees.  Out-of-state buyers may register and pay applicable taxes in their home state.  Out-of-country buyers shall also pay the sales tax applicable to Georgia residents in the county in which the car is delivered to you.  By submitting your bid, you agree to pay the applicable sales tax and fees upon consummation of a contract.  

6. Hennessy makes no representations or warranties regarding the car.  You agree that you are bidding to purchase on an "as is/where is" basis and with all faults.  HENNESSY SPECIFICALLY DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY OF FITNESS FOR A PARTICULAR PURPOSE.  If any warranty exists, it is provided by the manufacturer of the car.  Please inquire if the car is subject to any manufacturer's warranty.

7. By submitting your bid, you agree that any contract that arises between you and Hennessy shall be governed by and construed in accordance with Georgia law, without regard to conflicts of laws.  Any such contract shall be deemed to have been made in Atlanta, Georgia, and you agree to take possession of the vehicle at the relevant Hennessy dealership in the metropolitan Atlanta area.  Hennessy will assist you in arranging shipping of the vehicle if you request it, but Hennessy assumes no liability for loss after the vehicle is delivered to your chosen carrier who shall act solely as your agent in taking possession of and transporting the car.

8. By submitting your bid, you agree that any dispute between you and Hennessy shall be resolved exclusively by litigation in the state or federal courts in Atlanta, Fulton County, Georgia and you consent to jurisdiction and venue for that purpose.

9. Mileage posted in the listing may vary from the actual mileage on the car at the time of delivery due to local driving, in-transit repairs, and/or road testing of the vehicle.

10. All cars offered for bid are subject to prior sale.  You agree that the existence of a listing of a car for auction does not constitute a representation by Hennessy that such a car is actually available for purchase.  Hennessy reserves the right to reject any bid at any time in its sole discretion.

11. If you are bidding on a used car, you agree and acknowledge that there may be some minor cosmetic and mechanical wear issues with the vehicle that you are purchasing from Hennessy.
