Stellantis mega-merger gets approval from FCA, PSA shareholders

MILAN — Shareholders of Fiat Chrysler and PSA Peugeot decisively voted Monday to merge the U.S.-Italian and French carmakers to create worldÂ’s 4th-largest auto company. Addressing separate meetings, both PSA Peugeot CEO Carlos Tavares and Fiat Chrysler Chairman John Elkann spoke of the “historic” importance of the vote, which combines legacy car companies that helped write the industrial histories of the United States, France and Italy. Before the merger is finalized, shares in the new company, to be called Stellantis, must the launched. It will be traded in Milan, New York and Paris. The marriage of PSA Peugeot and Fiat Chrysler Automobiles is built on the promise of cost-savings in the capital-hungry industry, but what remains to be seen is if it will be able to preserve jobs and heritage brands in a global market still suffering from the pandemic. The deal will create the worldÂ’s fourth-largest carmaker, with the capacity to produce 8.7 million cars a year, behind Volkswagen, Toyota and Renault-Nissan, and create 5 billion euros in annual synergies.  “We are fully aware of the fact that together we will be stronger than individually,'' PSA CEO Carlos Tavares told a virtual gathering of eligible shareholders. “The two companies are in good health. These two companies have strong positions in their markets.” The new company will put together under one roof French mass-market carmakers Peugeot and Citroen, top-selling Jeep and Italian luxury and sports brands Maserati and Alfa Romeo - pooling companies that have helped define the industry in the United States, France and Italy. While the tie-up is billed as a merger of equals, the power advantage goes to PSA, with Tavares running Stellantis and holding the tie-breaking vote on the 11-seat board. Tavares is set to take full control of the company early this year, possibly by the end of January. Fiat Chrysler chairman John Elkann, heir to the Fiat-founding Agnelli family and Fiat ChryslerÂ’s biggest shareholder, will be the Stellantis chairman. Fiat Chrysler CEO Mike Manley will head North American operations, which is key to Tavares' long-time goal of getting a U.S. foothold for the French carmaker he has run since 2014, and the clear money-maker for Fiat Chrysler. Such a deal was long wanted by Fiat ChryslerÂ’s long-time CEO Sergio Marchionne, who had predicted the necessity of consolidation in the industry. He was unable to find a deal before his sudden death in July 2018.

Current Ram 1500 sticking around into 2019

Ram is preparing a big redesign of its 1500 pickup truck for 2018, but for fans of the current truck, don't feel like you need to rush out to grab one – it's sticking around until 2019. That's according to Automotive News, whose sources spoke on condition of anonymity. The move allows Ram to take a two-prong approach to truck sales, offering the current model as a low-cost option for fleet users while pushing retail consumers toward the new pickup. The factories that build the 1500 today – Warren, MI, and Saltillo, Mexico – will assemble around 200,000 trucks in 2018 and 65,000 in 2019 before Ram phases out the older model. Meanwhile, FCA's Sterling Heights, MI, plant will screw together 325,000 redesigned 1500s starting in 2018, with production to increase to over 400,000 units in 2019. While Ram refused to comment when AN reached out, FCA CFO Richard Palmer hinted at the move during a conference call last week, saying "having more pickup capacity will allow us also to satisfy the fleet customers' demand on pickup, which we struggle to do today because we favor retail in the U.S. and Canadian volume, which have higher margins." "As we realign our capacity, we're going to be able to continue to work on improving our fleet mix," Palmer said. Beyond making a play for fleet buyers, continuing to build the current 1500 guarantees dealerships maintain a solid inventory as Ram ramps up production of the new truck. You can check out leaked images of the redesigned Ram here. According to Automotive News, the new truck won't use aluminum, like the Ford F-150, relying on steel instead. FCA's 3.6-liter V6 will provide thrust along with turbocharged options, although there's no mention of the venerable 5.7-liter Hemi V8. Don't read too much into that, of course – we'll eat our shoe if the 1500 ditches the popular eight-cylinder. It's still too early to predict when the 2019 Ram 1500 will debut, but it will likely happen in 2018 at the North American International Auto Show in Detroit or perhaps at a non-auto show event. 2017 Ram Power Wagon update adds menacing new look

The popular sentiment in the truck market is that if you really, really want off-road performance, you turn to the Ford F-150 SVT Raptor. But Ram would like to remind everyone that it's no stranger to the hardcore, off-road pickup game, and that the 2500-based Power Wagon is here to stand up (and dwarf) the half-ton-based Raptor. The 2016 Power Wagon was heavy on the chrome, had an pretty ridiculous optional graphics package, and featured questionable red grille inserts (unless you got the work-truck-like Power Wagon Tradesman). To be frank, it was hard to take the truck seriously alongside something as purposeful looking as the Ford Raptor. Ram has addressed this for 2017 by replacing all the chrome with menacing black trim. The billet-silver Ram badge in the nose is the only piece of bright work, and goodness, it all works. Look at the two side-by-side: murdering out the new Rebel-inspired grille, rear bumper, mirror caps, wheel arches, 324-point-font tailgate badge, headlights, and wheels finally gives the Power Wagon the menacing, purposeful, and imposing appearance that it needs. But really, what we like best is that this Ram is all just two-tone now, instead of a handful of different shades. By offering decals in just black or silver, depending on which of the six body colors you choose, the 2017 Power Wagon is a less distracting and simply more cohesive design (or just skip the graphics pack all together – we would). Changes elsewhere are much more modest. You can black out the cabin headliner, and the dull fabric seats have been spiced up with inserts that ape the tread pattern of the standard Goodyear Wrangler DuraTrac tires. It's a small touch, but it breaks up the otherwise depressing sea of black plastic. And as far as more luxurious options, there's no mention of a range-topping Power Wagon Laramie, although buyers on a budget will still be able to snag the entry level Power Wagon Tradesman. Perhaps most importantly, the bits that make the Power Wagon a Power Wagon are more or less unchanged. The 6.4-liter Hemi V8 still produces 410 horsepower and 429 pound-feet of torque and is still matched with a 66RFE six-speed automatic and a manually-shifted transfer case. It'll still tow 10,030 pounds, ford up to 30 inches of water, and has a standard 12,000-pound Warn winch at the front. In short, the 2017 Ram Power Wagon is still a monster, just a more fashionable monster.
