Facts point to legal violations by Carlos Ghosn, says Nissan external review

YOKOHAMA, Japan — An external committee reviewing governance at Nissan Motor Co said on Wednesday there were enough facts to suspect violations of laws and the private use of company funds by ousted chairman Carlos Ghosn. Following a three-month audit of Nissan's governance after a scandal that shook the global auto industry, the committee put the blame squarely on what it called Ghosn's concentration of power. It also acknowledged Nissan CEO Hiroto Saikawa's role in Ghosn's salary arrangement at the heart of the scandal. Twenty years to the day since French automaker Renault SA agreed to rescue Nissan, the committee described a corporate culture at Nissan "in which no one can make any objections to Mr. Ghosn," who was "in a way deified within Nissan as a savior who had redeemed Nissan from collapse." A representative for Ghosn replied in a statement that the allegations made against the former Nissan chairman "will be revealed for what they are: part of an unsubstantiated smear campaign against Carlos Ghosn to prevent the integration of the Alliance and conceal Nissan's deteriorating performance." The group issued 38 recommendations to bolster Nissan's governance, including that top executive positions at the Japanese car maker should not be held by people serving in executive positions at Renault or junior partner Mitsubishi Motors. It also proposed that the majority of directors, including the chairman of the board, be independent, outside directors and that the role of company chairman be abolished. Responding to the committee's comments, Saikawa told reporters on Thursday that Nissan would seriously consider the committee's recommendations, which he characterized as "tough." Saikawa, who was speaking outside his home, did not specifically address his responsibility in the scandal but has previously said that top management, including himself, were responsible for weak governance which led to the misconduct. The recommendations from the external, seven-member committee came weeks after Nissan and Renault said they would retool their alliance, one of the world's biggest automaking groupings, to break up the all-powerful chairmanship previously held by Ghosn. "There are facts sufficient to suspect violations of laws and regulations, violation of internal rules and private use of company funds and expenses ... by Mr. Ghosn," the committee said in its report.

TOKYO — Japan's automakers' lobby said on Tuesday it was dismayed by President Donald Trump's declaration that some imported vehicles and parts posed a threat to U.S. national security, as the industry braces for a possible rise in U.S. tariffs. Trump made the unprecedented designation of foreign vehicles on Friday but delayed for up to six months a decision on whether to impose tariffs to allow for more time for trade talks with Japan and the European Union. "We are dismayed to hear a message suggesting that our long-time contributions of investment and employment in the United States are not welcomed," said Akio Toyoda, chairman of the Japan Automobile Manufacturers Association. "As chairman, I am deeply saddened by this decision," Toyoda, president of Toyota, said in a statement. Trump has threatened to impose tariffs of up to 25% on imported cars made by foreign automakers, a move which automakers have argued would ramp up car prices, curb the global competitiveness of U.S.-made vehicles and limit investment in the country, the world's No. 2 auto market. The United States is a vital market for Toyota, Nissan, Honda and other Japanese car makers. Autos and components are among the Asian country's biggest export products. Most of Japan's major automakers operate plants in the United States. The Japan Automobile Manufacturers Association notes that its automakers build about 4 million vehicles a year in North America, or 75 percent of what it sells here. Many are built for export, helping lessen the U.S. trade deficit Trump is concerned about. Major automakers have announced a slew of investments in the United States since Trump took office in January 2017 and put pressure on the industry to create more U.S. jobs. For its part, Toyota has pledged to invest almost $13 billion in the United States between 2017 and 2021 to boost manufacturing capacity and jobs. Nissan edges out Tesla for most ZEV credits sold in California

When it comes to California zero-emissions vehicle (ZEV) credits last year, Nissan was selling and Mercedes-Benz was buying. The California Air Resources Board (CARB) put out its ZEV-credits numbers for the year that ended September 30, which is why we now know that Nissan, maker of the battery-electric Leaf, transferred 663.6 ZEV credits out of its account last year. That just edged out the 650.195 credits that Tesla sold. Chrysler's Fiat affiliate was a distant third, but its limited-production Fiat 500E was still able to generate some ZEV credits and then transfer out 235.2 of them. We don't know how much the buyers paid for these credits, since those details are kept private. It's an ever-changing rulebook over at CARB, anyway. On the flip side, Mercedes-Benz had to buy 663.6 ZEV credits in order to comply with clean vehicle-sales mandates in the most populous US state, indicative of the German automaker's gas-guzzling tendencies. Honda has cars that get better fuel economy than your average Benz, but its plug-in vehicles represent just a fraction of total sales and so it had to shell out for 542.5 ZEV credits. Chrysler-Fiat basically tread water, since the 237.8 ZEV credits it required for compliance canceled out gains on the other side of the ledger. Those Dodge Ram pickup trucks don't exactly help matters. Last year, Tesla sold the most ZEV credits while GM purchased the most. Overall, Californians bought about 3.5 million vehicles for the year that ended September 30, including 38,000 battery-electric vehicles, 30,000 plug-in hybrids and 570,000 conventional hybrids.
