Carlos Ghosn: What misconduct is he accused of?

TOKYO — Japan was shocked by news that Nissan Motor Co. Chairman Carlos Ghosn, who was widely respected for rescuing the carmaker from near bankruptcy, was arrested on Monday for alleged financial misconduct. Nissan said that Ghosn, who is also chairman and CEO of Renault and chairman of Mitsubishi Motors, would be fired from his post as Nissan chairman on Thursday. What is Carlos Ghosn accused of? Nissan CEO Hiroto Saikawa told a packed press conference on Monday night that the company had found that Ghosn had been using corporate money for personal purposes and under-reporting his income for years in official company filings to the Tokyo Stock Exchange. Another board member, Greg Kelly, was also deeply involved in the misconduct, Nissan said. Saikawa said he couldn't elaborate as the cases are being investigated by prosecutors, who have declined to comment. Prosecutors said that Ghosn and Kelly conspired to understate Ghosn's compensation over five years starting in fiscal 2010 as being about half of the actual 9.998 billion yen ($88.9 million). Public broadcaster NHK said Nissan paid billions of yen to buy and renovate homes for Ghosn in Rio, Beirut, Paris and Amsterdam, citing unnamed sources. The properties had no business purpose and were not listed as benefits in TSE filings, NHK said. Ghosn, 64, has not been formally charged. The Asahi newspaper reported that he and Kelly had submitted to prosecutors' questions after getting off a plane on Monday afternoon at Tokyo's Haneda Airport. Saikawa confirmed they had been arrested. Ghosn and Kelly have not been seen since, and their exact whereabouts are not known. Suspects are typically taken to the Tokyo Detention Center, which is linked to the Tokyo District Public Prosecutors Office. How did this come to light? Nissan's Saikawa said Ghosn's alleged improprieties came to light through a whistleblower, after which the company began an internal investigation and informed prosecutors. Japanese media reports say the informant is a member of Nissan's legal department. The Asahi reported, without citing sources, that the informant gave the prosecutors information in a plea bargain, implying the person may have provided evidence in exchange for a lighter sentence. Nissan board meets but doesn't pick a replacement for Ghosn

YOKOHAMA, Japan — Nissan's board met Monday but failed to pick a new chairman to replace Carlos Ghosn, who was arrested last month on charges of violating financial regulations, saying more discussion was needed. Nissan Motor Co. Chief Executive Hiroto Saikawa told reporters that the board approved a special committee of outsiders to strengthen governance at the company. A date for the selection of a chairman was not decided. "We plan to be cautious in this process, and I do not plan to rush this," Saikawa said. The recommendations for beefing up governance are due in March, and Saikawa said he was willing to wait until then to choose a chairman. The board meeting came amid an unfolding scandal that threatens the Japanese automaker's two-decade alliance with Renault SA of France and its global brand, and highlights shoddy governance at the manufacturer of the Leaf electric car. Ghosn and another board member Greg Kelly were formally charged last week with falsifying financial reports in underreporting Ghosn's income by about 5 billion yen ($44 million) from 2011 to 2015. They were arrested Nov. 19 by Tokyo prosecutors and remain in detention. A source close to Ghosn's family says Ghosn is innocent, as the alleged income was never decided upon or paid. Aubrey Harwell, the U.S. lawyer for Kelly, an American, says he is innocent, and that Nissan insiders and outside experts had advised him that the financial reporting was proper. The chairman must be selected from among the board members. Three outside board members — race-car driver Keiko Ihara; Masakazu Toyoda, an academic; and Jean-Baptiste Duzan, formerly of Renault — are making that decision. The special committee for governance includes the three outside board members and four other outsiders, including former judge Seiichiro Nishioka. One candidate for chairman is Saikawa, who was hand-picked by Ghosn to succeed him as chief executive. He has denounced Ghosn and Kelly as the "masterminds" in a scheme to falsify income reports and abuse company money and assets. Renault has kept Ghosn as chief executive and chairman, saying its investigation has not found wrongdoing in the awarding of Ghosn's compensation. Saikawa called on directors at Renault to heed its reasons for sacking Ghosn, but Renault's interim chairman Philippe Lagayette said on Friday that its board had not considered a replacement.

Mitsubishi recalls 130k Lancers, Outlanders over auxiliary glitches

The National Highway Traffic Safety Administration has has announced two separate recall campaigns for Mitsubishi vehicles, both of them related to problems with their auxiliary systems and covering a total of some 130,000 units. The recalls relate to Lancers (including Sportback and Evolution versions) as well as the Outlander and Outlander Sport, all of them from the 2009 through 2011 model years. The larger of the two recalls relates to the blower motor that may not to an adequate job of defrosting the windshield and therefor impede the driver's visibility. The recall covers 76,958 units, specifically the 2009-2011 Lancer (manufactured between March 16, 2009, and March 30, 2011), 2010-2011 Lancer Sportback (June 17, 2009, to December 1, 2010), 2010-2011 Lancer Evolution (July 14, 2009, to January 7, 2011), 2009-2011 Outlander (February 10, 2009, to June 22, 2011), and 2011 Outlander Sport (August 26, 2010, to November 19, 2010). The smaller recall still covers another 53,395 units due to a problem with the electronic control unit tasked with operating the headlights, taillights and windshield wipers. "Unstable voltage" in that dedicated ECU could cause those systems to function improperly – which, again, could impede the visibility and increase the risk of a crash. This recall covers the 2009-2010 Lancer (January 12, 2009, to July 6, 2010), 2010 Lancer Sportback (June 17, 2009, to June 8, 2010), 2010 Lancer Evolution (July 14, 2009, to August 4, 2010) and 2009-2010 Outlander (January 12, 2009, to August 27, 2010). In both cases the manufacturer is not aware of any accidents or injuries resulting from the problems. But all the same, in both cases, owners will be notified to bring their Mitsus into their local dealer to have the relevant component (blower motor or ECU) replaced. Since the affected models and model years overlap, we suspect some owners may have both components replaced on their vehicles at the same time, but we're reaching out to Mitsubishi Motors North America for clarification. If this array of recalled vehicles sounds familiar, you might be thinking of a similar campaign issued last October that covered some 166,000 Lancers and Outlanders from largely the same model years. That unrelated recall, however, related to the drive belt detaching from the engine.
