FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium. Fiat introduces new Fullback pickup

Fiat has unveiled its first foray into the mid-size pickup truck market, the Fullback, at the Dubai Motor Show. It's not an entirely new product, confirming earlier reports. It's closely related to the Triton pickup (also known as the L200) that Mitsubishi builds in Thailand for markets in Europe, Asia, and Africa. Moreover, it's not likely ever to make it to North American showrooms. Riding on a 118-inch wheelbase, it measures 208 inches long, 71 inches wide and 70 inches tall. Those are identical measurements to the Mitsu, and give it roughly similar dimensions to the Chevy Colorado/GMC Canyon we get here. The Fullback can carry up to 2,300 pounds, and is powered by a 2.4-liter turbo diesel engine available in either 150- or 180-horsepower states of tune, and mated to a six-speed manual or five-speed automatic transmission. Fiat Professional will roll out the Fullback in markets across Europe, the Middle East, and Africa, where it will compete against the likes of the Toyota Hilux, Ford Ranger, and Volkswagen Amarok. Consumer Reports says these are the worst new cars of 2014

Consumer Reports has announced its annual list of worst vehicles, a cringe-inducing contrast to its list of top vehicles. Ignominiously leading the way in 2014 is Chrysler, which has a staggering seven models listed.
Jeep nearly sweeps the small SUV segment by itself, with its Compass, Patriot and 2.4-liter version of the new Cherokee, while the only midsize sedans listed by CR were the Chrysler 200 and Dodge Avenger. The new Dodge Dart and the Dodge Journey round out CR's condemnation of Chrysler.
Ford is taking heat as well, with the Taurus, Edge and their counterparts from Lincoln all listed as the worst vehicles in their respective segments. Toyota doesn't fare much better, with its Lexus IS, Scion iQ and tC also making the list.
