Nissan reportedly rejecting Renault proposal for closer ties

TOKYO — Nissan Motor Co Ltd will reject a management integration proposal from French partner Renault SA and will call for an equal capital relationship, the Nikkei newspaper said on Monday, citing sources. Nissan's management feels the Japanese company has not been treated as an equal of Renault under existing capital ties, and a merger would make this inequality permanent, the Nikkei reported. The outlook for the alliance — one of the world's top automaking partnerships — has been in focus since the arrest in November of its main architect, Carlos Ghosn, on charges of financial misconduct. The former Nissan and Renault chairman has denied the charges against him and has said he was the victim of a boardroom coup by Nissan executives opposed to closer ties. To which, Bloomberg reported that it has seen emails in which Nissan executives were working with Japanese government officials to defend the company's independence, as Ghosn was pushing for a full merger. The emails indicate growing concern at high levels of the Japanese government, in the months before Ghosn's arrest, that his merger efforts would boost Renault and its largest shareholder, the French government, and harm Nissan, in a relationship the Japanese already saw as lopsided. The emails indicated a desire to keep the existing structure of the alliance with a "re-balancing of the shareholding" to reduce Renault's 43 percent stake in Nissan, and stated that Nissan's independence "should be respected." Nissan declined to comment directly on the emails, while reiterating that misconduct by Ghosn and his former aide, Greg Kelly, is "the sole cause of the chain of events." Renault saved Nissan from the brink of bankruptcy two decades ago and under their current capital alliance, the French company holds greater control over its much larger partner. Nissan Chief Executive Hiroto Saikawa declined to say whether the company had received a merger proposal from Renault. "Now is not the time to think of such things," he told a group of reporters outside of his house in Tokyo. "At the moment we are focused on improving Nissan's earnings performance. Please give us time to do that." Renault declined to comment on the report. Renault has argued in its proposal that an integration would maximize synergies within the French-Japanese alliance, according to the Nikkei. The Financial Times reported last month of Renault's intention to restart merger talks with Nissan within 12 months.

Swarm of bees descends on man's Mitsubishi

A man in Wales got quite a shock when he returned to his car only to find it covered in bees. According to the South Wales Evening Post, an unnamed driver parked Mitsubishi Outlander in front of the Three Crowns Pub in Haverfordwest, a city in Pembrokesire, Southwest Wales. When he returned, he discovered a large swarm of honeybees had come to roost on the rear of the car. Thankfully, before anyone could disturb the bees, a Pembrokeshire Coast National Park ranger named Tom Moses came across the scene. "It was spectacular, I was driving through when I sported the big brown splodge," Moses told the Evening Post. "A lot of people were really amazed by it, cars were slowing down and people were taking pictures of it." The bees were swarming the car after their queen became lodged in the trunk, according to the Guardian. Moses has an interest in bees and often speaks to people about the ways in which bees are threatened by pesticides and habitat destruction. "At the national park, we like people to be aware of how important bees are and how people should be looking after them," Moses told the paper. The ranger contacted the Pembrokeshire Beekeepers' Association and two members came out to collect the swarm. "I was a little bit concerned, with it being in the middle of town outside a pub, that someone might do something stupid and get hurt or do something stupid and hurt the bees," Moses said. His concern is valid. It's a very bad idea to tangle with stinging insects when you don't know what you're doing. Bees swarm to protect their queen, and are liable to swarm anything they see as a threat. If you ever find yourself in this unlikely scenario, call a professional beekeeper who can safely remove the hive. Avoid hiring an exterminator though. Bee populations have a hard enough time as it is. Honeybee die-offs and disappearances have been on the rise since 2006. According to the United States Department of Agriculture, one of the primary culprits is Colony Collapse Disorder, which happens when all adult workers in a hive disappear leaving only immature bees and a queen behind. FCA compromises with France, moving Renault merger bid forward

FRANKFURT/PARIS – Renault directors were preparing to review Fiat Chrysler's $35 billion merger offer on Tuesday, after the Italian-American carmaker resolved differences with the French government overnight, three sources said. The compromise on French government influence over a combined FCA-Renault may clear the way for Renault's board to approve a framework agreement beginning the long process of a full merger, unless new issues surface at the meeting. France, Renault's biggest shareholder with a 15% stake, had been pressing for its own guaranteed seat on the new board and an effective veto on CEO appointments. But after late-night talks with FCA Chairman John Elkann, the French government has accepted a compromise that would see it occupy one of four board seats allocated to Renault, balanced by four FCA appointees, the sources said. Renault would also cede one of its two seats on a four-member CEO nominations committee to the French state, they said. Renault, FCA and the French government all declined to comment on the discussions. The same evening that the compromise was was negotiated, activist hedge fund CIAM wrote to the board of Renault to say it "strongly opposed" a planned $35 billion merger with Fiat Chrysler. Calling the deal "opportunistic," the fund said the current deal terms strongly favored Fiat Chrysler and offered no control premium.
