Stellantis mega-merger gets approval from FCA, PSA shareholders

MILAN — Shareholders of Fiat Chrysler and PSA Peugeot decisively voted Monday to merge the U.S.-Italian and French carmakers to create worldÂ’s 4th-largest auto company. Addressing separate meetings, both PSA Peugeot CEO Carlos Tavares and Fiat Chrysler Chairman John Elkann spoke of the “historic” importance of the vote, which combines legacy car companies that helped write the industrial histories of the United States, France and Italy. Before the merger is finalized, shares in the new company, to be called Stellantis, must the launched. It will be traded in Milan, New York and Paris. The marriage of PSA Peugeot and Fiat Chrysler Automobiles is built on the promise of cost-savings in the capital-hungry industry, but what remains to be seen is if it will be able to preserve jobs and heritage brands in a global market still suffering from the pandemic. The deal will create the worldÂ’s fourth-largest carmaker, with the capacity to produce 8.7 million cars a year, behind Volkswagen, Toyota and Renault-Nissan, and create 5 billion euros in annual synergies.  “We are fully aware of the fact that together we will be stronger than individually,'' PSA CEO Carlos Tavares told a virtual gathering of eligible shareholders. “The two companies are in good health. These two companies have strong positions in their markets.” The new company will put together under one roof French mass-market carmakers Peugeot and Citroen, top-selling Jeep and Italian luxury and sports brands Maserati and Alfa Romeo - pooling companies that have helped define the industry in the United States, France and Italy. While the tie-up is billed as a merger of equals, the power advantage goes to PSA, with Tavares running Stellantis and holding the tie-breaking vote on the 11-seat board. Tavares is set to take full control of the company early this year, possibly by the end of January. Fiat Chrysler chairman John Elkann, heir to the Fiat-founding Agnelli family and Fiat ChryslerÂ’s biggest shareholder, will be the Stellantis chairman. Fiat Chrysler CEO Mike Manley will head North American operations, which is key to Tavares' long-time goal of getting a U.S. foothold for the French carmaker he has run since 2014, and the clear money-maker for Fiat Chrysler. Such a deal was long wanted by Fiat ChryslerÂ’s long-time CEO Sergio Marchionne, who had predicted the necessity of consolidation in the industry. He was unable to find a deal before his sudden death in July 2018.

This SEMA special drag race is absurdly awesome

The SEMA Show came and went last month, and it showed us a ton of heavily modded goodies to dream about during the long, cold winter. The Motor Trend Channel on YouTube is keeping the party rolling a little longer, though, with a drag race inspired by the aftermarket event. All of the hosts were supposed to borrow a vehicle from the show for the big race, but only two of them actually cajoled companies into lending their wares. Still, the result includes four very cool and extremely different examples of the breadth of the automotive hobby. First up, there's a 1955 Chevrolet with a 535-cubic-inch (8.8-liter) Hemi V8 stuffed under the hood. Appropriately, it's dubbed the Blasphemi, and with skinny tires up front, fat rubber in the rear and a stripped interior, this this is made to go very fast in a straight line. Next, there's a stock Dodge Challenger SRT Hellcat boasting 707 horsepower. Plus, host Jessi Lang has her dog riding shotgun for the race. A Chevy Sonic RS with some body mods, downpipe and intake is also competing. Finally, the most bizarre of the quartet is a custom 1958 Jeep Forward Control with a 5.7-liter Hemi V8 and treads to replace the wheels. Obviously, the Blasphemi and Hellcat are the only two that really have a chance of winning, but check out the video to see which one crosses the finish line first. Jeep Cherokee Trail Carver is a more rugged Trailhawk

We briefly mentioned the Jeep Cherokee Trail Carver that was heading to SEMA last week when discussing the Mopar lineup set to be shown in Las Vegas. At the time, though, we weren't able to dive too deeply into details. But with SEMA in full swing, we were able to sneak over and grab some snaps of one of the first modified Cherokees we've seen. The Cherokee is, after all, kind of an unknown quantity in the modification department, being so new and featuring such a polarizing design. We were quite interested to see what Mopar could come up with.
Starting with the Trailhawk 4x4 and its 3.2-liter V6, the engine is fitted with a Mopar cold-air intake and a new exhaust, although it's not clear what sort of power boost has resulted. We'll admit, we were hoping Jeep and Mopar would get a bit more aggressive with the Cherokee's suspension (has anyone thrown a few-inch lift on the new Jeep yet?), but there's no mention of upgrades beyond the knobby, off-road tires. Those should do some good when the going gets rough, while rock rails are there to protect the Auburn Pearl paint on the body.
Speaking of that paint, it's complemented by an interesting graphics package in contrasting black and Crush Orange. The cabin sports Katzkin Amaretto leather seats, along with tech-friendly items like a wireless charging system for cellphones and wireless internet.
