Ford family keeps special voting rights

Ford Motor Company has a dual-class stock structure of Class A and Class B shares. The roughly three billion Class A shares are for the general public like you and me, while the roughly 71 million Class B shares are all owned by the Ford family. Each Class A share gets the shareholder one vote, each Class B share is worth 16 votes, the result being that Common Stock holders control about 60 percent of the company while the Ford family controls 40 percent even though it holds far fewer shares. The only way that could ever change would be if the Fords sell their Class B shares, but even so, Class B shares revert to Class A when sold outside the family, so they'd have to sell a whole bunch of them.
A contingent of Class A shareholders think the dual-class system is unfair, and for the past few years a vote's been held during the annual shareholders meeting to end it. It has failed every time, as it just did again during the meeting held this week. A smidge over 33 percent voted to end the dual system, outvoted by the 67 percent who are happy with the way Ford is going - unsurprising in view of a corporate turnaround that will be part of business-class curricula for years to come.
On the sidelines, Ford elected Ellen R. Marram to the post of independent director, the first woman to hold the job. The former Tropicana CEO and 20-year Ford board member replaces retiring board member Irvine Hockaday who helped bring Alan Mulally to the CEO position.

Recharge Wrap-up: Ford HQ gets giant solar array, Chevy City Express gets 24 MPG city

Ford will be building Michigan's largest solar array at its Dearborn headquarters. With funding from DTE Energy, the solar carport will provide covered parking, as well 30 charging stations for electric vehicles. The array is expected to generate 1.13 million kWh per year for Ford's operations, and offset 794 metric tons of carbon emissions. Read more in the press release below. Chevrolet announced the fuel economy for the 2015 City Express, at 25 mpg combined. The cargo van is rated at 24 mpg in the city, and 26 mpg on the highway. Chevy credits the van's inline four-cylinder engine and continuously variable transmission for its impressive city mileage. For its customers - which are mainly businesses - "The fuel economy of the City Express will help stretch their dollar at the pump and give them the flexibility to invest the savings back into their business," says Chevrolet's Ed Peper. The City Express starts at $22,950. Read more in the press release below. Engineers at the University of Wisconsin have developed an efficient engine that runs on a diesel-gas blend. The engine, which uses a computer to control the blend proportions, is about 15 percent more efficient than the any diesel engine according to mechanical engineering professor Rolf Reitz. The team has put the experimental reactivity controlled compression ignition (RCCI) engine in a demonstration car - a 2009 Saturn. "This vehicle can do 50 miles per gallon," says Reitz, who believes the system could be improved further. Read more at Wisconsin Public Radio. The Southeast Alternative Fuel Conference and Expo will take place in October in Raleigh, North Carolina. Held at the NC Clean Energy Technology Center from October 22-24, the event will feature a variety of exhibitors, speakers and, most importantly, alternatively powered vehicles. "The three day conference will be a one-stop shop for fleet and transportation related decision makers to learn about return on investment, efficiency and alternative transportation fuels such as biodiesel, electricity, ethanol, propane and natural gas," says Anne Tazewell of the NC Clean Energy Technology Center. Ford fixing 130k vehicles in three recalls

Ford is issuing three new safety campaigns that cover a total of 130,801 vehicles in North America, but the company has no reports of accidents, injuries, or fires from any of these issues. The largest of these campaigns covers 128,823 examples of the 2009-2010 Ford Edge and Lincoln MKX that are currently registered or originally sold in rust-prone areas of North America, including 110,636 in the US. On these crossovers, "corrosion under the reinforcement brackets where the fuel tank is mounted" can potentially result in a fuel leak. To fix the issue, dealers will inspect the tank and will repair or replace it as necessary. The affected locations are: Connecticut, Delaware, the District of Columbia, Illinois, Indiana, Iowa, Kentucky, Maine, Maryland, Massachusetts, Michigan, Minnesota, Missouri, New Hampshire, New Jersey, New York, Ohio, Pennsylvania, Rhode Island, Vermont, West Virginia, Wisconsin; and the Canadian provinces of New Brunswick, Newfoundland and Labrador, Nova Scotia, Ontario, Prince Edward Island, and Quebec. Ford is also recalling 1,906 North American examples of the 2016 Mustang, including 1,900 in the US, because of possible damage to some components during shipping to the factory. On the affected pony cars, "dealers will replace front and rear seat belt assemblies, rear seat buckle assemblies, and child tethers," the company says in its statement. Finally, the smallest campaign is for 72 units of the 2016 Ford E-Series cutaway and chassis cab in North America, including 65 in the US. On these, the trailer brakes don't activate when pressing the brake pedal, and dealers need to update the powertrain control module software.
