Ferrari officially files SEC paperwork to register future IPO

Late last year FCA announced plans to spin off Ferrari into a separate company, and after a long wait that process has finally become official. The Prancing Horse has now filed the necessary prospectus and other documents with the Securities and Exchange Commission to hold an initial public offering on The New York Stock Exchange. The paperwork doesn't mention a specific date for the Italian sportscar maker's IPO, but it's expected sometime in October. At this point, the documents also don't include some other vital data about the IPO. Ferrari lists neither the number of shares being offered nor their price. The company also doesn't have a stock symbol yet. UBS, BofA Merrill Lynch and Santander are acting as joint book runners for the deal. As part of the IPO, FCA initially intends to sell 10 percent of Ferrari's shares on the stock market. Another 10 percent of the company still belongs to Piero Ferrari. FCA is holding onto the remaining 80 percent in the short term for financial reasons but intends to distribute them to shareholders in early 2016. After the spin-off, about 24 percent of Ferrari would be owned by Exor, 10 percent by Piero Ferrari, and 66 percent by public shareholders, according to the SEC documents. FCA boss Sergio Marchionne believes that Ferrari could be worth over $11 billion. Although, his estimate might be slightly high. According to Reuters, Wall Street is actually putting the value somewhere between $5.5 billion and $11 billion. Fiat reveals new Aegea Project sedan in Istanbul

You'd be forgiven for boiling Fiat down to the 500 and its growing roster of spinoffs, but overseas the Italian brand sells a wide range of models. Like this new sedan, for example. Unveiled today at the Istanbul Motor Show is the Fiat Aegea Project, in reference to the sea on the western shore of Turkey, where FCA operates one of its largest plants. The Fiat Aegea Project has about the same exterior dimensions as a Ford Focus sedan, with room for five and an array of gasoline and diesel engines ranging from 95 horsepower to 120, mated to a manual or automatic transmission. While tacking a trunk on to a hatchback (or carving a notch out of a sport wagon) may be common practice with some of its competitors, the Aegea was designed from the get-go as a three-box sedan, giving it better balanced proportions. Design work was carried out in Italy at the company's Centro Stile, with development undertaken at the Tofas R&D center adjacent to the Bursa plant where it will be built. Though sure to get a different name before it reaches production, the Aegea is slated to go on sale in Turkey this coming November before rolling out to 40 more markets in Europe, the Middle East and Africa. Just don't expect it to see it nestled between a couple of neo-Cinquecentos in showrooms Stateside. The Abarth 695 Biposto Record is 190 hp tribute to speed

Abarth earned an early reputation for tuning big power from small-displacement engines. The company's Fiat Abarth 1000 Monoposto Record set class acceleration records at Monza in 1965, with Carlo Abarth himself behind the wheel. The limited edition 695 Biposto Record now celebrates the 50th anniversary of those titles with the hottest version of the Fiat 500 on the street. Abarth will limit this special 695 Biposto to just 133 examples – the company's number of historic records. They all wear Modena Yellow bodies with Tar Cold Grey trim and an enameled badge. The interior also features a numbered plaque. Beyond these aesthetic tweaks, Abarth sticks with the high-output powertrain of the standard 695 Biposto: a 1.4-liter turbocharged four-cylinder sends 190 horsepower to the front wheels through a mechanical locking differential. An Akrapovic exhaust provides great sound, too. Compared to a normal Fiat 500 Abarth, the weight of the Biposto twins drops to 2,198 pounds thanks in part to the removal of the rear seats. The combination of more power and fewer pounds lets the hatchback reach 62 miles per hour in 5.9 seconds and a top speed of 143 mph. Brembo brakes slow things down. Inside, Sabelt buckets with carbon shells hold the two occupants tight with four-point harnesses. Like the standard 695 Biposto, we don't expect the company to offer the Record in the US.
