Fiat buying rest of Chrysler in $4.35 billion deal, IPO avoided

Chrysler will now become a wholly owned member of the Fiat family, as it's been announced that the 41.46-percent stake in the Auburn Hills, MI-based manufacturer owned by the United Auto Workers' VEBA trust fund will be sold to the Italian company. Concluding the agreement will mark the closure of a piecemeal purchase process that could have resulted in an initial public offering.
The total cost of the sale will see the VEBA healthcare trust receive $4.35 billion, $3.65 billion of which will come from Fiat. $1.75 billion of that will be cash, while an additional $1.9 billion will be part of a "special distribution." An additional $700 million will be paid over four separate installments according to reports from Automotive News Europe and USA Today, although the shares will belong to Fiat following the first payment. The deal was reportedly initially struck on Sunday (though it is just being announced today), and is being portrayed as particularly good news for Fiat and Chrysler, which have now prevented the remaining shares going to the stock market in a UAW-forced IPO.
"The unified ownership structure will now allow us to fully execute our vision of creating a global automaker that is truly unique in terms of mix of experience, perspective and know-how, a solid and open organization that will ensure all employees a challenging and rewarding environment," Fiat CEO Sergio Marchionne said in a statement.

Fiat Chrysler Automobiles (FCA) has approved the use of E15 in its 2016 model year vehicles. The Renewable Fuels Association is pleased with the automaker's choice to cover the higher ethanol blend in its warranty statements, describing it as a positive signal for the future growth of E15. "FCA's decision to join GM and Ford provides clear evidence that the tide on E15 has turned," says RFA President and CEO Bob Dinneen. Skoda's head of purchasing, Dieter Seemann, discusses sourcing EV components in a new interview. He says the biggest challenge is seeking out future suppliers for electric motor and connected vehicle components. "We have to really understand what happens in this business to identify the right partners to have in five to eight years from now," says Seemann. "Many of these are suppliers completely new to us." Nissan is helping the European Commission develop a pedestrian alert system for electric vehicles. Called Electric Vehicle Alert for Detection and Emergency Response (eVADER), the project aims to develop technology that provides audible cues to alert pedestrians to oncoming vehicles without contributing to noise pollution. Nissan created a system for the Leaf that uses a camera to recognize pedestrians and cyclists and direct a sound in their direction. This work will help the EU shape its laws moving forward. The hybrid uses Nissan's All Mode 4x4-i all-wheel-drive system, and is equipped with a host of safety technology. Chrysler-Fiat quality chief out after another poor Consumer Reports showing

Fiat Chrysler has announced a management change following the company's woeful performance in the latest Consumer Reports Annual Auto Reliability Survey. Of the 28 brands surveyed, FCA's marques occupied the five the seven lowest scores, while Dodge, Ram, Jeep and Fiat were the four lowest scorers.
Doug Betts, FCA's 51-year-old head of quality "left the company to pursue other interests," which, considering the aforementioned paragraph, means he was sacked. According to Automotive News, Betts joined Chrysler in 2007, defecting from Nissan, and, insiders report, had a somewhat tumultuous relationship with new boss Sergio Marchionne.
His replacement is the newly promoted Matthew Lidane (shown at inset), who was formerly VP of systems and components. Lidane has been at Chrysler since 1987 and was previously chief engineer of the Jeep product team as well as the vehicle line boss for the compact US wide platform which (ironically) underpins two of FCA's lowest scoring vehicles, the Dodge Dart and Jeep Cherokee.
