UAW may be key to forced FCA merger with GM

Sergio Marchionne doesn't give up on a business deal easily. While outwardly not much has recently been said about FCA's attempted merger with General Motors, Marchionne might be hoping to garner a powerful, new ally that could help break things wide open. The United Auto Workers retiree health care trust is the single largest shareholder of GM with 8.7 percent of the stock, and having its support would certainly improve FCA's position in getting a deal done. "Whatever happens in terms of consolidation, it would never be done without the consent and support of the UAW," Marchionne said when FCA recently began contract talks with the UAW, The Detroit News reports. The boss is also allegedly on good terms with the union president Dennis Williams. Still, using the organization for a hostile takeover could be very difficult because of the way its votes are structured. Other activist investors might already be on board, though. Marchionne believes that consolidation in the industry is vital because automakers are investing to create the same technologies. A GM/FCA merger still has many roadblocks, though, including the fact that Marchionne's company is smaller than GM. From a regulatory perspective, the size of the merged company could raise serious anti-trust concerns among regulators, according to The Detroit News. There's also the concern for lost jobs from redundant work with the two combined businesses. Even if the UAW angle doesn't work out, there are contingency plans afoot for other merger targets. According to The Detroit News speaking to anonymous insiders, FCA bigwigs have a meeting in London on Thursday to take a close look at other options. In addition to GM, they are investigating possible deals with Volkswagen and the Renault-Nissan Alliance. In the past, PSA Peugeot Citroen and multiple Asian automakers have also been brought up as partners, and UBS has reportedly been providing financial advice on what to do.

Feds investigating FCA sales fraud focusing on strange code word

The US government is currently investigating Fiat Chrysler Automobiles (FCA) over the possibility of sales fraud, and according to The Wall Street Journal, the investigation has revealed a strange phrase about a nonexistent "unnatural acts department." People knowledgeable about the term told The Wall Street Journal that this phrase was a "rallying cry." Basically, if it looked like the company, region, or dealer wasn't going to hit sales targets, this was a sign that some outside-the-box sales solutions were needed. People told the news outlet those solutions could include selling cars at a loss or having the dealer buy a fleet of customer test-drive cars. However, this could also be evidence of some less savory ways to boost sales. In addition to the investigation, the company is already facing at least one lawsuit from a dealer group that alleges it would bribe dealers to pad monthly sales figures. FCA had an incentive to maintain sales numbers as well, considering that it was claiming a long streak of increasing sales. Under scrutiny recently, the company changed its sales reporting practices and numbers for previous years. Under the old reporting methods, it was possible for dealers to sell cars, report the sales, and then cancel or "unwind" the sales later. This wouldn't count as a lost sale, but the car also couldn't be recorded as another sale later. As a result, an unscrupulous dealer could have hypothetically used it to "sell" a car one month and "unwind" it the next. If FCA knew about this, it's also possible the company could have pushed dealers to use the system for false sales, something the Feds theorize may be related to the "unnatural acts department" phrase. It's still entirely possible this "unnatural acts department" was just a corporate term for thinking of creative ways to meet sales goals. And selling cars at a loss is definitely unnatural for businesses that are trying to make money. Whatever the phrase truly meant to dealers, it certainly is bizarre. Show full video transcript text [00:00:00] Massachusetts based software company, nuTonomy, launched its self-driving taxi service in Singapore this week. nuTonomy specializes in developing software for self-driving cars. Testing of the companies ride-hailing smartphone app occurred in Singapore, where riders were able to book a free driverless ride. nuTonomy's robo-taxi fleet is comprised of Renault Zoes and Mitsubishi i-MiEVs. Engineers from nuTonomy were present at this public launch as a safety measure. [00:00:30] The company will now continue to collect data and conduct more testing with its self-driving cars in Singapore, Michigan and the United Kingdom. nuTonomy has plans to offer widely-available commercial service in Singapore in 2018. nuTonomy's aggressive play in Singapore has put Uber and its partner Volvo in the unlikely position of playing catch-up. Autocar reported this week that we should expect FCA to add a Coupe [00:01:00] to it's 124 roadster lineup. When? Well, seeing as the 124 Spider just recently made it US dealers we may have to wait until next year to see a hardtop Fiata. It's tough to predict what kind of performance we can expect out of a 124 Coupe but in the U.S. the Spider has 160hp using a 1.4-l turbocharged engine. So the car you see in these pictures is actually Fiat's 124 Rally car that will be used for competition. [00:01:30] Now that's not exactly how the street car will look but it gives you an idea of what a 124 with a fixed roof is gonna look like. This week we got another look at what we think is the Chevy Corvette ZR1 and its massive rear wing. Now to be clear, the images that we're seeing are actually demonstrations. The car was actually captured without the rear wing. However, our spy photographers photoshopped the wing, which we've seen before, on some of these new shots just so you could get [00:02:00] a sense of what the car looks like driving around in it's most recent state. Now we think this car will make more than 700hp, which is kind of a magic number. The Hellcats from Chrysler make 707 so certainly GM wants to beat them.
