Fiat To Pay $3.65 Billion For Remaining Chrysler Shares

Italian automaker Fiat SpA announced Wednesday that it reached an agreement to acquire the remaining shares of Chrysler for $3.65 billion in payments to a union-controlled trust fund. Fiat already owns 58.5 percent of Chrysler's shares, with the remaining 41.5 percent held by a United Auto Workers union trust fund that pays health care bills for retirees. Under the deal, Fiat will make an initial payment of $1.9 billion to the fund, plus an additional $1.75 billion upon closing the deal. Chrysler will also make additional payments totaling $700 million to the fund as part of an agreement with the UAW. The deal is expected to close on or before Jan. 20, according to a statement from Chrysler. Sergio Marchionne, CEO of both Fiat and Chrysler, has long sought to acquire the union's shares in order to combine the two companies. "The unified ownership structure will now allow us to fully execute our vision of creating a global automaker that is truly unique in terms of mix of experience, perspective and know-how, a solid and open organization," Marchionne said in a statement issued by Turin, Italy-based Fiat. The deal eliminates the need for an initial public offering of the union fund's stake, which analysts had previously valued at $5.6 billion. Fiat went to court last year seeking a judgment on the price, but the trial date was set for next September. Marchionne can't spend Chrysler's cash on Fiat's operations unless the companies merge. In recent months he made it clear that he preferred to settle the dispute without an IPO, but filed the paperwork for the offering in September at the trust's request. Chrysler's profits have helped prop up Fiat on the balance sheet as the Italian automaker struggles in a down European market. The Auburn Hills, Mich., automaker earned $464 million in the third quarter on U.S. sales of the Ram pickup and Jeep Grand Cherokee, its ninth-straight profitable quarter. For starters, the apps let owners access information like maintenance schedules, service history and recall notices. The apps also include an array of how-to information and instructional videos, offer push notification for important updates like maintenance offers and recall alerts, and allow customers to schedule test drives and receive quotes from their local dealers for new vehicles. But that's just the tip of the proverbial iceberg. The FCA Owner apps also feature an augmented reality function that helps drivers identify instrument-panel icons. There's a Parking Reminder feature that helps drivers remember where they parked their car, guides them back to their parking spot and tracks the time left on the meter. Finally, there's an Accident Assistant feature that helps drivers record the specifics of an accident, upload insurance information and take photos of the scene. It'll even help find the closest certified collision repair facility, schedule an appointment and access roadside assistance. The apps are available for any Chrysler, Dodge, Ram, Jeep, Fiat or Alfa Romeo built from 2011 till today, and are available for either iOS or Android. If you've got more than one FCA vehicle in your garage, you needn't download multiple versions of the app as they'll work on any model the Italian-American automaker offers. SRT reveals Satin Vapor Edition 300, Charger and Challenger SRT models

With the exception of some notable truck and van introductions, Chrysler brands have tended to use the Chicago Auto Show to bring out new special editions, pimp their aftermarket parts support or indulge in the occasional flight of fancy. That plan is holding true for 2014, as well. Cases in point are these new Satin Vapor Editions of the 2014-model-year Dodge Challenger, Dodge Charger and Chrysler 300 - all from SRT.
The Satin Vapor name may sound like a failed 1970s glam-rock band, or a pseudo-gynecological diagnosis from the Old West, but is, in fact, pretty much a tape-and-trim package for this trio of hi-po Mopars. 300, Challenger and Charger alike come shod with 20-inch aluminum wheels finished in Black Satin Vapor Chrome, and are accented with Satin Black bits aplenty. The 300 gets blacked-out mirrors, spoiler and roof; the Challenger applies it to mirrors and its fuel door; while the Charger has the stuff covering its roof, hood and Super Bee tail graphic.
Interiors of the cars have been mildly updated as well, with all three getting some combination of Nappa leather, ultra-suede and carbon-fiberish finishes.
